Bebo co-founders Michael and Xochi Birch (MXB Holdings) along with SV Angel, Michael Jackson (TV executive), and Richard Hecker <a href="http://www.techmeme.com/120424/p63#a120424p63">have filed a lawsuit</a> against Criterion Capital Partners, who bought Bebo from AOL in June 2010.  The group of investors were persuaded to put money into Bebo after Criterion acquired the social network, but the investors are alleging that Criteron was mismanaging the website and withheld information from them.<br />
<span id="more-60304"></span><br />
Their filing against Bebo alleges:</p>
<p>- Criterion &#8220;exploited&#8221; Bebo and was &#8220;fraudulent&#8221; by &#8220;using its operating capital to pay the salaries of Criterion&#8217;s staff&#8221; including $14,000 per month to Bebo CEO Adam Levin.<br />
- Bebo operated for 20 months and &#8220;failed to hold a single board meeting or shareholder meeting.&#8221;<br />
- Bebo had also defaulted their San Francisco lease and moved to Criterion&#8217;s L.A. headquarters without board approval.</p>
<p>The investors are suing the new Bebo owners for $5 million.</p>

AOL, Inc. (NYSE:AOL) EVP Jon Brod sent over a memo to employees regarding the reason why the company is interested in shutting down <a href="http://Bebo.com">Bebo</a>.  The core reason is that Bebo is a business that has been declining and it would require too much of an investment in an effort to compete. In an annual filing for Bebo we will make tomorrow, AOL will indicate that it is currently evaluating strategic alternatives, which could include a sale or shut down of Bebo in 2010.<br />
Obviously this is significant news &#8211; particularly for the Bebo team, which has done a great job remaining committed to Bebo’s users and overall business. However, AOL’s strategy has evolved driven by the fact that we are in a turnaround and that we need to get the company as focused as possible.<br />
The strategy we set in May 2009 leverages our core strengths and scale in quality content, premium advertising and consumer applications, positioning us for the next phase of growth of the Internet. As we evaluate our portfolio of brands against our strategy, it is clear that social networking is a space with heavy competition, and where scale defines success. Bebo, unfortunately, is a business that has been declining and, as a result, would require significant investment in order to compete in the competitive social networking space. AOL is not in a position at this time to further fund and support Bebo in pursuing a turnaround in social networking.</p>
<p>AOL is committed to working quickly to determine if there are any interested parties for Bebo and the company’s current expectation is to complete our strategic evaluation by the end of May 2010.</p>

AOL social network subsidiary Bebo.com has named a new head of global operations, Stephane Panier.  Panier will be responsible for scaling the social network&#8217;s media operations and advancing the global reach of the service.  Currently Bebo has 24 million users around the world.  Panier was previously the VP and COO of Bebo.  Panier will be reporting to Jon Brod, the EVP of AOL Ventures.</p>
<p>Before joined Bebo in January 2009, Panier worked at Google for 6 years in finance and operations positions.  “Stephane is a proven strategist and operator with executive experience from some of the world’s leading brands and businesses,” stated Brod. “He is the ideal leader to build on Bebo’s existing successes, to chart a course for its future, and to execute against that vision.”</p>

Joanna Shields was an EVP and the President of People Networks at AOL.  She came to the company through AOL&#8217;s <a href="http://pulse2.com/2008/03/13/aol-buys-bebo-for-850-million-in-cash/">acquisition of Bebo</a>.  Shields plans to move back to London and pursue other entrepreneurial interests.  Shields was President of Bebo at the time of the acquisition.</p>
<p>This announcement comes at a time where AOL is <a href="http://pulse2.com/2009/05/28/aol-to-spin-off-from-time-warner-and-go-public/">preparing to spin off</a> from Time Warner as an independent, public company.  When Bebo was acquired for $850 million, they were a much smaller social network than MySpace and Facebook.  MySpace was acquired for $580 million back in July 2005 and Facebook is planning for an IPO several years down the road.</p>
<p>Below is the memo that Joanna left to her team at AOL:<br />

<p>I wanted to let you know that after much deliberation and with a heavy heart I have decided to move on from AOL. I am returning home to London to reunite with my family and pursue my entrepreneurial interests.</p>
<p>It has been a remarkable year and I feel incredibly lucky to have spent this time with you. I have been blessed to be part of many success stories in the past from RealNetworks and Google through to Bebo and my time with you at AOL will go down as one of my proudest.</p>
<p>People Networks was born a year ago to solve some of the toughest problems facing online consumers today. Despite (and perhaps because of) all the innovation we’ve seen in the last few years there are too many online services to monitor, too many profiles to manage and too many “social graphs” to maintain. The web is an amazing platform for content, community and communications, but these three rarely happen in one place, resulting in online conversations that are fragmented and disconnected. Our vision was to connect people with everyone and everything they care about and through a combination of great talent, hard work and brilliant assets we managed to create some amazing experiences to do just that.</p>
<p>We started with our industry-leading products AIM and ICQ and are now just about ready to re-invent instant messaging as the world knows it to become the default product for both private and public conversations and social and status updates. We leveraged the incredible passion and talent at Bebo, launching numerous innovations and expanding into 7 new countries while maintaining our leadership in user engagement and innovative monetization. And finally, we assembled a small, yet powerful group of entrepreneurs, to build a platform for socializing the web in record time, receiving rave reviews from publishers and partners working with the Socialthing team. I can’t wait for the world to get a glimpse of our new client this summer combined with the evolution of Socialthing as it finally creates a way for conversations and social interactions to happen anywhere on the web.</p>
<p>You should all feel proud of your role in our success.</p>
<p>I wanted to say thank you for everything I’ve learned from you this past year. I loved the fact that we challenged each other every day, from our offsites and product summits to our Thinktanks and day-to-day meetings. In the end we came up with phenomenal products that will make a lasting impact–and we are just on the verge of revealing these plans. I feel so privileged to have had the opportunity to think with all of you, to break down the barriers of the old ways, to innovate again and to re-invigorate this company. I believe in you and I am so very proud of you all. Don’t let the constant swirl of changes around you take you off course. Feel confident about the decisions we have made and the path we are on. Stay focused on delivering the products you believe in and I know you will win.</p>

<span style="color: #ff0000;"><strong>AOL sent out a press release today stating that Virgin Media has joined the Open Mobile initiative set up by Bebo, the social network <a href="http://pulse2.com/2008/03/13/aol-buys-bebo-for-850-million-in-cash/">that was acquired</a> for $850 million in March 2008.  The Open Mobile initiative is a way for mobile operators, developers, and manufacturing companies to build mobile versions of the Bebo social networks with their brand on it.</strong></span></p>
<p>As part of the agreement, Virgin will be creating the Bebo Open Mobile Internet website with Virgin&#8217;s brand on it and they will also be putting bookmarks for Bebo on the pre-releases of their devices.  Virgin customers will be able to easily access Bebo&#8217;s mobile services right out of the box.</p>
<p>“Virgin Media’s decision to embed Bebo in their customer experience plays to both of our strengths and joins two great brands. In partnership with Virgin Media, we will be able to deliver great mobile content to more users in the UK,” stated Sean Kane, VP of Mobile at AOL People Networks.</p>

			<content:encoded><![CDATA[<p>As of 2006 about 44.3 million Hispanics live in the U.S.  That is about 15% of the total population.  Bebo wants to capitalize on that by launching a Bebo portal for Latinos living in the U.S.  Media partners involved in this project include Hearst and AOL Latino.  The Bebo U.S. Latino website will have the latest in music, entertainment, videos, photos, polls, quizzes, surveys, and other content that is syndicated from MisQuinceMag.com.</p>

			<content:encoded><![CDATA[<p>AOL social network Bebo has announced that they have launched Bebo Open Mobile.  Bebo Open Mobile is a platform for mobile companies to build a device-compatible version of the social network.  Bebo plans to work with mobile operators, handset manufacturing companies, and mobile software developers.  Bebo has about 50 million users.</p>
<p>“Bebo Open Mobile is a new way to expand the power of social networking to program members,&#8221; stated Bebo Global Head of Mobile Sean Kane. &#8220;The Bebo Open Mobile suite of tools is designed to move mobile communication and user relationships forward by delivering a simple and more ubiquitous experience to users.
