Time Warner subsidiary Warner Bros. Entertainment, Inc. has acquired Flixster. Flixster is a social network that is centered around movies. Through the acquisition, Warner Bros. also gains possession of the valuable Rotten Tomatoes brand. News Corp. sold Rotten Tomatoes to Flixster in exchange for cash and equity last year.

Warner Bros. had an interest in acquiring Flixster since this past March. Flixster’s valuation was rumored to be around $60-$90 million. The company had raised around $7 million in venture capital funding since they launched.

Flixster has a cross-platform movie discovery application and a mobile platform. They saw about 35 million downloads thus far. Rotten Tomatoes receives about 12 million unique visitors per month. Rotten Tomatoes is also heavily integrated into iTunes.

Below is an excerpt from Warner Brothers’ press release:

Warner Bros. Home Entertainment Group will utilize the powerful Flixster brand and technical expertise to launch a number of initiatives designed to grow digital content ownership, including the recently announced consumer application “Digital Everywhere.” This studio-agnostic application will be the ultimate destination for consumers to organize and access their entire digital library from anywhere on the device of their choice, as well as to share recommendations and discover new content. The Flixster acquisition and “Digital Everywhere,” combined with the Studio’s support of the UltraViolet format are all part of an overall strategy to give consumers even more freedom, utility and value for their digital purchases.

Warner Brothers Entertainment, Inc. CEO Barry Meyer said that his company decided not to join Apple for the 99 cents iTunes TV show rentals deal because they believed the price was too low and “would have hurt sales of full seasons.”

Meyer said that he preferred Apple’s current $2.99 TV show purchasing model through iTunes. This way users can keep the show and studios can keep the profit. Apple launched the new $0.99 TV show rental service on September 1st. Apple’s current $0.99 TV show rental partners include BBC America, News Corp., and ABC.

Below is the full press release:

WARNER BROS. HOME ENTERTAINMENT GROUP ACQUIRES TURBINE, INC.
NORTH AMERICA’S LARGEST PRIVATELY-HELD ONLINE GAMING STUDIO

BURBANK, Calif., April 20, 2010 – Warner Bros. Home Entertainment Group announced today the acquisition of Turbine, Inc., the largest privately-held online gaming studio in North America, further strengthening Warner Bros.’ position as one of the industry’s fastest growing, full-scale games publishers.

“Turbine is a leader in online entertainment and a strong strategic fit for Warner Bros. as we continue to broaden our games portfolio and development capabilities,” said Kevin Tsujihara, president, Warner Bros. Home Entertainment Group. “Turbine’s renowned online game development and publishing expertise will help us develop additional online product offerings, while also providing us with new and innovative ways to market and communicate with our consumers.”

Founded in 1994 and operating primarily in Boston, Turbine has created some of the most popular and exciting gaming worlds on the Internet, including Dungeons & Dragons Online®: Eberron Unlimited™, the world’s best free-to-play massively multiplayer online role playing game (MMORPG) and The Lord of the Rings Online™, the first and only MMORPG based on the books of J.R.R. Tolkien. Previously, Warner Bros. held all The Lord of the Rings (LOTR) games rights, with the exception of the literary MMO (massively multiplayer online game) rights. Now all games rights for the LOTR franchise will be unified under the Warner Bros. shield.

“We have been looking to expand access to our online worlds to more players and more markets,” said Jim Crowley, president and CEO, Turbine, Inc. “This acquisition is very exciting because it allows us to expand globally while continuing to focus on creating spectacular online games that our loyal fans and players have come to expect.”

Additionally, the acquisition of Turbine provides Warner Bros. with access to a proprietary digital publishing platform that enables dynamic direct-to-consumer relationships, robust online merchandising opportunities and vibrant e-commerce functionality for online games. Turbine has also developed a social networking platform that can integrate their self-developed online communities with popular third-party social networks. Outside of the games arena, these platforms present unique opportunities for Warner’s other home entertainment businesses.

“Turbine is recognized globally for its industry-leading technology, groundbreaking graphics and its unique ability to create and operate massive and persistent online worlds which greatly enhance players’ social gaming experiences,” said Martin Tremblay, president, Warner Bros. Interactive Entertainment. “The Lord of the Rings Online and Dungeons & Dragons Online have both been an enormous success for Turbine and we look forward to working with their talented development team to continue creating award-winning online games.”

In 2007, Warner Bros. acquired TT Games, developer of the hit LEGO-based game franchises, including LEGO Star Wars, LEGO Indiana Jones and LEGO Batman, which have wide appeal with players of all ages. Early in 2009, Warner Bros. acquired Snowblind Studios to develop its The Lord of the Rings games franchise, with the first title The Lord of the Rings: War in the North expected to be released in 2011. Also in 2009, the Studio purchased the primary assets of Midway Games. Midway published the Mortal Kombat franchise, which has sold over 26 million units worldwide. Most recently, Warner Bros. acquired a majority stake in Rocksteady Studios, a privately held developer of interactive entertainment targeted at teens and adults.

Warner Bros. continues to grow its games business through key acquisitions, building internal development capabilities, leveraging its global video distribution infrastructure, and focusing on developing major games franchises such as Batman, F.E.A.R., Mortal Kombat, The Lord of the Rings and LEGO.

In February, Midway filed for bankruptcy and then the company decided to use cash collateral to keep their company alive. Looks like the company will not need to hang by a financial string anymore because the Mortal Kombat company was bought by Warner Brothers for $33 million.

As part of the deal, Warner Brothers will get most of Midway’s assets. And some of the legal disputes existing between creditors, senior executives, and major stakeholder Mark Thomas have been resolved.

Some of the companies that objected to the Warner Brothers sale include Hollywood production company Threshold Entertainment, which produced two Mortal Kombat movies. Tigon Studios Inc., a company founded by Vin Diesel also objected to the sale. Tigon and Midway both worked on a video game called Wheelman which starred Diesel. All of the objections were resolved.

RealNetworks, Inc. (NASDAQ:RNWK) should have saw this coming when they release their new controversial RealDVD software. While RealPlayer already allows you to download any video from YouTube or powered by Flash, RealDVD allows you to rip DVDs and make back up copies. RealDVD was officially launched today. Six major studios announced that they are suing the software company over the software.

These studios believe that many of Netflix and Blockbuster’s customers would just burn the movies that they rent with the RealDVD software, thus causing them to lose out on a great deal of money. The lawsuit was filed at the U.S. District Court in L.A.

“The incentive for the consumer is obvious and all but overwhelming,” stated a request by the movie studios. The request was for a temporary restraining order. “‘Why,’ he or she may ask, ‘should I pay $18.50 to purchase a DVD when I can rent it for $3.25 and make a permanent copy?’”

RealNetworks defends their software by saying it is legal. RealDVD is sold for $30 per consumer at $20 for up to four licenses after that. The software copy is locked into the original owner’s hard drive and does not alter the encryption technology used by movie studios already. Copying one’s own personal copies of a DVD is “fair use” by law.

The movie studios stated that RealDVD violates the Digital Millenium Copyright Act to bypass technologies that prevent the copying of a DVD without permission of the copyright owners. The movie studios that are suing RealNetworks includes Viacom, Inc. (NYSE:VIA)’s Paramount Pictures, Sony Corporation (NYSE:SNE)’s Sony Pictures, News Corporation (NYSE:NWS.A)’s 20th Century Fox, General Electric (NYSE:GE)’s Universal, The Walt Disney Company (NYSE:DIS) studio, and Time Warner Inc. (NYSE:TWX) Warner Bros.

TheWB.com is currently in Beta and is geared to launch on August 27. Upon launch, TheWB.com will have full episodes of All Of Us, Roswell, Everwood, Blue Water High, Buffy the Vampire Slayer, Dangerous, Friends, Gilmore Girls, One Tree Hill, Smallville, The Wayans Bros., The OC and Veronica Mars. TV producers, McG and Josh Schwartz will be releasing a couple of new shows on TheWB.com such as Sorority Fever.

McG is the director and producer of Terminator 4, Supernatural, and the Charlie’s Angels movies. Schwartz is the writer and producer of Gossip Girl, Chuck, and The O.C.

“The launch of TheWB.com represents a natural progression of the Warner Bros. Television Group’s digital strategy and complements our core business, which is based upon episodic storytelling, first-class distribution and providing value to partners through advertising in a premium environment,” stated Bruce Rosenblum, President of Warner Bros. Television Group (WBTVG).

TheWB set-up a Facebook application and a Facebook fan page as part of the launch.

“These hit shows still have an incredible amount of equity with their audiences, who grew up with these characters and went through significant events in their lives just as some of the characters did on the programs,” stated Brent Poer, General Manager of TheWB.com. “And now, through TheWB.com, users will be able to take an unprecedented level of control over their own entertainment experience by easily editing, remixing, and literally ‘playing’ with their favorite shows. We’re giving the users final cut.”

Johnson & Johnson (NYSE:JNJ) signed on as the charter sponsor for TheWB.com. TheWB.com is a subsidiary of Time Warner Inc. (NYSE:TWX).
