Enovis has entered a binding offer to acquire eCential Robotics, adding a modular surgical robotics and navigation platform to its orthopedic technology portfolio and accelerating its expansion into robotic-assisted surgery.
Following completion of the required information and consultation process with eCential Robotics’ works council under French law, the companies expect to enter into a definitive purchase agreement.
The transaction is expected to close during the fourth quarter of 2026, subject to regulatory approvals and other customary conditions.
Founded on more than 15 years of work in computer-assisted surgery and orthopedic robotics, eCential Robotics has developed a modular platform intended to support multiple orthopedic procedures through a common technology architecture.
Its Op.n platform combines surgical navigation and active robotics and has received FDA 510(k) clearance for spine surgery in the U.S.
The platform is designed to bring navigation and robotic guidance into a unified architecture, providing Enovis with an established technological foundation that could be extended into additional orthopedic indications over time.
Enovis plans to integrate eCential Robotics into its ASTRA enabling technology ecosystem.
The acquisition adds robotic automation capabilities to a platform that already includes technologies such as the ARVIS Augmented Reality System, giving Enovis a broader collection of tools intended to improve surgical precision, operating-room workflow and procedural efficiency.
The transaction also adds eCential Robotics’ engineering expertise, software development capabilities and intellectual property to Enovis’ internal innovation platform.
Enovis CEO Damien McDonald characterized those capabilities as foundational to the company’s broader robotics strategy.
For eCential Robotics, joining Enovis provides access to a larger global orthopedic portfolio and commercial infrastructure that could accelerate adoption of its technology.
The company has pursued a strategy of using a single scalable platform across multiple orthopedic applications rather than developing separate architectures for individual procedures.
Enovis believes combining that platform with its existing implant portfolio, enabling technologies and global reach could speed development and broaden access to robotic-assisted surgery.
eCential Robotics will also continue supporting its existing spine implant partners as they deploy the recently FDA-cleared Op.n Spine Navigation and Robotic Guidance Platform.
That continuing partner strategy is important because eCential has developed its technology as an open platform capable of working with multiple implant companies rather than solely supporting a single proprietary implant ecosystem.
The companies also plan to maintain and develop a robotics center of excellence in Grenoble, France, where eCential Robotics is headquartered.
Founder and Chair Stéphane Lavallée said the combination is expected to support existing partnerships while giving the organization additional resources to advance its robotics roadmap.
eCential Robotics also maintains U.S. commercial operations in Franklin, Tennessee.
Apparius, represented by Henri de Lalande and Yoann Foray, is serving as exclusive financial advisor to eCential Robotics.
