Agero: Acquisition Of Roadside Assistance Platform Urgently

Digital driver assistance services provider Urgently has agreed to be acquired by Agero in a deal that values the company at $5.50 per share in cash, combining two technology-driven platforms focused on modernizing roadside and mobility assistance services across the automotive, fleet, rental, and insurance sectors.

The agreement will bring together Agero’s large-scale service infrastructure with Urgently’s technology-first platform, which uses machine learning, advanced analytics, and real-time data to manage dispatch operations, case management, and customer experience. The combined organization is expected to expand capabilities across a wide ecosystem that includes automakers, dealerships, insurers, fleet operators, and drivers.

Agero currently supports more than 150 million vehicles through partnerships with major automotive and insurance brands and manages approximately 13 million roadside service events each year. By integrating Urgently’s digital platform with its own network and operational scale, Agero aims to accelerate innovation across dispatch optimization, customer experience tools, and partner-facing technology.

The companies said the merger reflects broader changes in the mobility services industry, where artificial intelligence, machine learning, and real-time data analytics are increasingly used to improve service delivery and customer satisfaction.

Under the terms of the merger agreement, a wholly owned subsidiary of Agero will launch a tender offer to acquire all outstanding shares of Urgently common stock for $5.50 per share in cash. Once the tender offer closes, Urgently will merge with the Agero subsidiary, and any remaining shares will be converted into the same cash consideration.

The transaction is expected to close by the end of May 2026, subject to customary closing conditions including shareholder participation in the tender offer.

Following completion of the deal, Agero will remain privately held and continue operating under the ownership of the Wolk family, which has controlled the company for more than five decades.
