Agilitas Private Equity announced that its funds have signed an agreement to sell Integris Composites to Triton Partners, subject to customary regulatory approvals and closing conditions.
Integris is a global provider of high-performance, lightweight composite protection solutions used across land vehicles, aerospace, and naval platforms. The company’s products are mission-critical for protecting personnel in high-risk environments, supported by vertically integrated capabilities across design, manufacturing, testing, and lifecycle management.
Headquartered in Amsterdam, Integris operates production facilities in the United States, France, and Denmark, with a commercial presence in more than 50 countries.
Agilitas originally backed the carve-out of Integris from Royal TenCate in 2021 and has since worked closely with management to establish the company as a standalone business under a new brand. During this period, Integris expanded its product portfolio, secured major multi-year programs globally, and strengthened its position as a transatlantic independent provider in the survivability solutions market.
The company also scaled its U.S. operations, expanded into Asia-Pacific markets, and built a global workforce while enhancing its research and development capabilities. Operational improvements included upgraded control systems, targeted insourcing initiatives, and strengthened engineering and testing infrastructure.
The transaction marks the next phase of growth for Integris under Triton, which focuses on investing in mission-critical industrial and technology businesses across Europe.
Financial terms of the transaction were not disclosed.
