Agility Robotics And Churchill Capital Corp XI Move $620 Million SPAC Deal Toward November Vote

Agility Robotics and Churchill Capital Corp XI have moved closer to completing their proposed business combination after the companies’ joint Form S-4 registration statement was declared effective by the U.S. Securities and Exchange Commission on October 13, 2026.

Churchill XI has scheduled an extraordinary general meeting for November 2, 2026, when shareholders will vote on the proposed combination and related matters. The transaction is expected to close in November 2026, subject to shareholder approval and other customary closing conditions.

Upon completion, the combined company will operate as Agility and is expected to list on the Nasdaq Stock Market under the ticker symbol AGLT. Agility expects the transaction to create the only U.S. publicly listed pure-play humanoid robotics company with proven, active commercial deployments.

The proposed transaction is expected to provide more than $620 million in gross proceeds, including approximately $424 million held in Churchill XI’s trust account, assuming no shareholder redemptions, and approximately $200 million from a common stock PIPE led by Foxconn. Existing and new institutional investors are also participating in the PIPE.

Agility plans to use the capital to fulfill existing customer orders, expand commercial deployments, increase production of its Digit 5 humanoid robot, and continue investing across physical AI, robotics hardware, software, safety systems, and manufacturing infrastructure.

Agility recently unveiled Digit 5, which is backed by more than $300 million in committed orders, subject to contractual milestones, product features, and specifications. Early access customer availability is expected in early 2027. Digit 5 is designed for cooperatively safe operation alongside people and is expected to offer improvements in lifting capacity, battery performance, and dexterity.

Earlier generations of Digit have accumulated more than 65,000 hours of real-world operations. Agility has commercial deployments and agreements with companies including Schaeffler, GXO, and Toyota Motor Manufacturing Canada. The Toyota relationship includes a Robot-as-a-Service agreement following a successful pilot, with Digit expected to support manufacturing, supply chain, and logistics applications.

The company is also targeting significant commercial expansion through the end of 2027. Agility plans to increase its pipeline from more than 30 prospective customers currently in active discussions or participating in its Customer Acceleration Program to approximately 100, while increasing committed customer facility deployments from nine to as many as 25.

Agility’s commercialization infrastructure includes Agility Arc, a cloud-based automation platform for integrating and managing Digit fleets, and RoboFab, its humanoid robot manufacturing facility in Salem, Oregon. RoboFab is designed to produce up to 10,000 robots annually. Agility also opened a hardware and physical AI development hub in Fremont, California, in July 2026.

The company has expanded its technology partnerships as it prepares for broader deployment. NVIDIA selected Agility as the launch partner for NVIDIA Halos, a full-stack safety system for physical AI and humanoid robotics, while Agility has also deepened its relationship with FORT Robotics to advance cooperative safety capabilities.

Agility is backed by investors and strategic partners including DCVC, NVIDIA, SoftBank Vision Fund 2, Schaeffler, Foxconn, Abico, and Playground Global. The company has also announced plans to appoint Merline Saintil, Derek Aberle, and Pierre Gentin to its public-company board as it prepares for the next stage of commercial expansion.
