Alpha Compute: $11 Million Acquisition Of GAMEE Establishes AI Gaming Division

Alpha Compute announced that it has completed its majority acquisition of GAMEE, a gaming and digital rewards platform, in a deal that establishes Alpha Games, the company’s new AI gaming division. As part of the transaction, GAMEE founder Bozena Rezab will lead the division as Executive Vice President.

The acquisition gives Alpha Compute a 60% controlling interest in GAMEE, a platform with more than 120 million registered users, a portfolio of gaming titles, and a proprietary digital rewards engine. The company said the transaction strengthens its position at the intersection of artificial intelligence, gaming, and digital infrastructure.

Under the terms of the agreement, Alpha Compute acquired the stake from Animoca Brands at an implied GAMEE valuation of $18 million. Total consideration could reach up to $11 million through a combination of cash, Alpha Compute shares, pre-funded warrants, and performance-based earn-out payments tied to EBITDA targets over the next two years.

The initial closing consideration totals $3.5 million, including $1.5 million in cash and approximately $2 million in Alpha Compute shares and pre-funded warrants. Alpha Compute also agreed to acquire an additional $2 million of GMEE tokens within 90 days of closing. Additional earn-out payments of up to $3.5 million in the first year and up to $4 million in the second year are contingent upon GAMEE meeting specified EBITDA milestones.

As part of the transaction, Animoca Brands entered into a two-year standstill agreement that prevents it from acquiring a controlling position in Alpha Compute. The deal also includes the transfer of approximately 878 million GMEE tokens from Animoca Brands’ treasury, representing 51% of Animoca’s holdings.

GAMEE joins Alpha Compute with strong growth metrics. The company generated approximately $3.5 million in revenue during 2025 and reported an estimated $926,000 in first-quarter 2026 revenue, representing a 56% increase compared to the same period a year earlier. During the quarter, the platform attracted more than 5.57 million users and recorded 88.5 million gameplay sessions.

The company currently serves approximately 1.7 million monthly active users and 150,000 daily active users across its platforms. GAMEE has also established a significant presence within the Telegram ecosystem, reaching more than 61 million Telegram users among its 120 million registered user base.

Among its recent initiatives, GAMEE completed a collaboration with Azuki through the Alley Escape Telegram mini-app, generating 315,000 users and 27 million gameplays. The campaign reached the Top 200 Telegram Mini Apps and became the top-ranked arcade game on PlayToEarn.

GAMEE also launched Gold Fest, a large-scale Telegram-based campaign developed with nGRND and Flashy. The initiative is distributing $2 million in gold-based rewards and generated $500,000 in development fees and a $500,000 marketing budget for GAMEE. Future phases of the project are expected to introduce AI agents that users can connect to or rent for participation in dedicated prize pools.

Looking ahead, Alpha Compute plans to integrate GAMEE’s gaming distribution infrastructure with its AI GPU compute platform, including Blackwell B200 and B300 GPU clusters that support Telegram’s Cocoon AI confidential computing network. The company expects GAMEE to become a native deployment channel for AI-powered gaming experiences and agentic gameplay applications.

Alpha Compute said its priorities for GAMEE include accelerating revenue growth, expanding relationships with major digital brands, and increasing the use of AI infrastructure for game development and gameplay experiences. The company also plans to integrate GAMEE’s assets, technology stack, and user community into its AI Confidential Compute platform within the next two fiscal quarters.

Founded in 2015, GAMEE has evolved from a mobile gaming aggregator into a gaming ecosystem that has generated more than 10 billion gameplay sessions. The company has worked with brands and communities including Azuki, NASA, Manchester City, Mocaverse, Notcoin, The Sandbox, and Cool Cats.
