American Family Mutual Insurance Company has entered into a definitive agreement to acquire the outstanding shares of Bowhead Specialty Holdings that it does not already own in an all-cash transaction valued at approximately $1.2 billion.
Bowhead shareholders will receive $34 per share in cash, representing an 11% premium to the company’s closing share price on July 31, 2026.
American Family has been an investor and strategic partner in Bowhead since making its founding investment in 2020.
The transaction has been approved by Bowhead’s board and is expected to close before the end of 2026.
Completion remains subject to Bowhead shareholder approval, regulatory clearances and other customary closing conditions.
American Family plans to fund the transaction with cash and other liquid investments on hand. The acquisition is not subject to a financing condition.
Following the closing, Bowhead will operate as a standalone business within the American Family platform.
Stephen Sills will continue serving as Bowhead’s President and CEO, and the company will retain the Bowhead name and brand.
Bowhead provides specialty casualty, professional liability and healthcare liability insurance products.
Its underwriting operations use two models. The company’s craft approach covers large, complex and higher-severity risks, while its digital operations, including Baleen Specialty and other small-business products, serve smaller and more scalable accounts.
American Family expects Bowhead to complement its strategy of diversifying its commercial insurance portfolio, broadening its product offering and improving capital efficiency.
Ardea Partners is serving as Bowhead’s exclusive financial adviser, while Skadden, Arps, Slate, Meagher & Flom is acting as legal adviser.
