AmyriAD Therapeutics Acquires Recognify Life Sciences And RL-007

AmyriAD Therapeutics has acquired Recognify Life Sciences and its lead clinical-stage program, RL-007, also known as inidascamine, expanding AmyriAD’s pipeline of treatments targeting cognitive impairment.

The transaction was structured through equity consideration, with Recognify shareholders including atai Life Sciences, Catalio Capital Management and Sudhoff Family Office becoming shareholders of AmyriAD. Additional consideration is linked to future development milestones.

AmyriAD will retain ismidenon, or AD-101, as its lead Alzheimer’s disease program while adding RL-007 as a second clinical-stage cognition asset.

RL-007 is an orally administered, first-in-class pro-cognitive compound designed to modulate cholinergic, glutamatergic and GABA-B receptor activity.

The compound has been studied in approximately 500 subjects and demonstrated what AmyriAD described as a consistent safety and tolerability profile.

AmyriAD plans to complete an ongoing pharmacokinetic study initiated by Recognify, with results expected during the first half of 2027.

The company also plans to advance a reformulated version of RL-007 for cognitive impairment associated with schizophrenia, or CIAS.

In a Phase 2b study involving 242 participants, RL-007 did not achieve statistical significance on the MCCB neurocognitive composite at week six. However, AmyriAD said numerical improvements were observed across several cognitive domains, including Symbol Coding, Speed of Processing and Verbal Learning, along with directionally positive effects on functional capacity.

The company plans to use those findings to refine formulation, exposure and clinical trial design.

AmyriAD is also planning a Phase 2 study of RL-007 in mild-to-moderate Alzheimer’s disease for 2027 or 2028.

KEY QUOTES:

“RL-007 fits squarely into what AmyriAD was built to do. We are a cognition company. Our lead asset, ismidenon, targets cognitive decline in Alzheimer’s disease, and RL-007 adds clinical-stage depth to that same strategic focus through a differentiated mechanism and a second cognition indication that has already shown pro-cognitive signals in schizophrenia. The Phase 2b data taught us a great deal about dose, exposure and endpoint selection. We intend to apply those learnings to a reformulated product and a sharper clinical program in both CIAS and Alzheimer’s disease. We are equally pleased to welcome atai, Catalio and Sudhoff as shareholders of AmyriAD – investors who know this asset well and share our conviction in it.”

Ranga Krishnan, M.D., Chair of the Board of AmyriAD

“AmyriAD’s singular focus on cognition and its experienced CNS team make it the right owner to take inidascamine forward. As shareholders, we look forward to participating in the program’s next chapter.”
