Analog Devices has agreed to acquire Alif Semiconductor in an all-cash transaction that includes $1.35 billion of upfront consideration and up to $200 million of additional contingent consideration, potentially bringing the total transaction value to $1.55 billion.
Alif develops highly power-efficient, AI-native microcontrollers and fusion processors designed to perform real-time sensor fusion, low-latency inference and on-device AI processing. Analog Devices plans to combine those capabilities with its portfolio spanning sensing, signal processing, power, connectivity and software.
The transaction is part of Analog Devices’ push into what the company calls Physical Intelligence, where AI systems interpret signals from the physical world and make decisions locally rather than relying entirely on cloud data centers.
Alif’s technology is designed to process inputs such as motion, sound and other sensor signals while operating within demanding power, security, latency and reliability constraints. Its silicon is already shipping in production and has secured design wins with consumer and industrial customers.
Analog Devices said the acquisition will expand its addressable market across industrial systems, data center infrastructure, defense, energy, robotics, digital health and wearable applications. Alif’s processors are expected to give customers a scalable digital processing platform that can be paired with Analog Devices’ analog and sensing technologies.
The transaction has been approved by both companies’ boards and is expected to close before the end of 2026, subject to customary closing conditions and applicable antitrust requirements.
