Anthropic is establishing the Anthropic Public Benefit Fund, a new entity that will hold a growing stake in the AI company and support initiatives aligned with its public benefit mission.
Subject to stockholder approval, Anthropic plans to commit 5% of its shares to the Fund initially. The structure also allows the board to add another 2% of the company’s shares for every 50% increase in Anthropic’s value above a specified baseline.
The Fund will be organized as a wholly owned LLC rather than a traditional 501(c)(3) nonprofit. Anthropic said the structure is intended to give the organization greater flexibility in how it deploys resources, potentially including large donations to established nonprofits or direct distributions to specific groups.
The company said equity held by the Fund will not be used for lobbying or political giving in the United States or internationally.
Anthropic is positioning the Fund as an extension of the public benefit work already conducted inside the company, including AI safety and interpretability research, applied biomedical research, and discounted access to Claude for nonprofit and scientific organizations. The new entity is intended to support initiatives that may require different structures or greater financial scale.
One area Anthropic highlighted is the potential labor market impact of artificial intelligence. The company has already committed $200 million to studying and addressing economic disruption associated with AI, but said additional approaches may be needed as the technology develops.
The new commitment also builds on equity pledges made by Anthropic’s founders and employees. When the company was founded, its co-founders pledged to donate 80% of their personal equity holdings. Anthropic also operates an employee equity donation matching program, with approximately half of employees participating.
When those commitments are combined with the new Fund, Anthropic said roughly 20% of its shares are now dedicated to the public good, excluding any additional equity that could be added if the company reaches future valuation milestones.
Anthropic plans to disclose additional details about the Fund’s governance, structure, and valuation thresholds in the coming months. The company also said it will publish an upcoming public benefit report covering its progress toward its broader mission.
KEY QUOTES:
“The Anthropic Public Benefit Fund will have increased flexibility and scale, enabling us to pursue our mission in new ways: for example, we might explore large donations to traditional nonprofits or direct distributions to specific populations.”
“Because of the way the Fund is structured, the more Anthropic grows, the larger the share of the company that can be dedicated expressly to the public good. It is common practice for tech companies to offer escalating compensation awards to their executives. We are instead directing that equity to the public benefit.”
