Arc Mineral Royalties appointed Integral Wealth Securities to provide market-making services for the company’s common shares, with the engagement designed to support orderly trading and enhance liquidity.
Integral will conduct market-making activities in accordance with TSX Venture Exchange policies and applicable securities laws.
The firm is an independent Canadian investment dealer regulated by the Canadian Investment Regulatory Organization and will operate independently from Arc in performing its market-making responsibilities.
Under the agreement, Arc will pay Integral a monthly cash fee of C$6,500 plus applicable taxes.
The arrangement has an initial minimum term of three months. Following that period, Arc can terminate the agreement by providing 30 days’ written notice.
Integral will not receive shares, stock options, warrants, or other Arc securities as compensation for its services.
The agreement also does not contain performance-based compensation provisions, keeping Integral’s compensation separate from the trading performance or market value of Arc’s common shares.
Integral is an arm’s-length party to Arc and will make its market-making decisions independently.
To Arc’s knowledge, Integral does not currently hold a direct or indirect interest in the company’s securities.
The engagement remains subject to approval by the TSX Venture Exchange.
The appointment provides Arc with additional capital markets support as the company continues developing its mining royalty and streaming strategy.
Arc Mineral Royalties is focused on building a diversified portfolio of royalty and streaming interests across mining assets, providing exposure to underlying mineral production and development without directly operating the projects.
The company’s foundational asset is a 1% net smelter return royalty covering the Mt Henry Gold Project in Western Australia.
Arc also holds an option to acquire an additional 1% net smelter return royalty over the project, potentially increasing its economic exposure to future development and production at Mt Henry.
The Integral engagement adds a dedicated market-making function as Arc continues building its portfolio and developing its presence in the public markets.
