Ares Management participated in a reorganization of Plenitude’s shareholding and governance structure that includes more than €1 billion of additional capital from Ares Alternative Credit funds.
Ares and Eni increased their combined capital contribution by approximately €1.5 billion, based on a pre-money equity valuation of Plenitude of €10.75 billion.
More than €1 billion of the new capital is attributable to Ares.
Following completion of the transaction, Ares holds 26.24% of Plenitude’s share capital.
Eni owns 65.03%, while Energy Infrastructure Partners holds the remaining 8.73%.
Ares initially invested in Plenitude in 2025, acquiring a 20% stake for approximately €2 billion.

Ares and Eni will jointly control Plenitude under an enhanced governance framework.
Ares will appoint three members of Plenitude’s board, including Stefano Questa as Chairman.
Eni will appoint five directors, including the CEO, while Energy Infrastructure Partners will appoint one board member.
