Artemis Gold To Acquire Vista Gold In $427 Million Deal, Adding 10.5 Million-Ounce Mt Todd Resource Base

Artemis Gold has agreed to acquire Vista Gold in an all-stock transaction valued at approximately $427 million, adding the advanced-stage Mt Todd project in Australia’s Northern Territory and establishing a potential pathway toward more than one million ounces of annual gold production.

Artemis already owns approximately 4.95% of Vista’s outstanding shares.

Under the agreement, Vista shareholders will receive 0.0966 Artemis Gold shares for each Vista share they own.

The exchange ratio implies consideration of $2.83 per Vista share and a 29% premium based on the companies’ 20-day volume-weighted average prices through September 18.

No cash consideration will be paid and Artemis does not plan to incur new debt to complete the acquisition.

Following closing, existing Artemis shareholders are expected to own approximately 95% of the combined company and current Vista shareholders approximately 5%.

The acquisition adds Mt Todd, a feasibility-stage Australian gold development project containing 9.1 million ounces of Measured and Indicated Mineral Resources and another 1.4 million ounces of Inferred Mineral Resources.

The project has previously received several major permits for development around a proposed 50,000-tonne-per-day processing operation.

Artemis intends to keep the expansion of its Blackwater Mine in British Columbia as its immediate priority.

Blackwater’s Phase 1A and EP2 projects are expected to remain the company’s primary development focus through completion of EP2, which is targeted for mid-2028.

After EP2, Blackwater is expected to produce more than 500,000 ounces of gold annually.

Artemis believes combining an optimized Blackwater operation with a developed Mt Todd could ultimately provide a pathway to annual gold production exceeding one million ounces.

Development spending at Mt Todd is not expected to be required before Blackwater EP2 is completed.

The transaction has been unanimously approved by both boards.

Vista expects to mail its definitive proxy materials in November, hold a shareholder meeting in December and, subject to shareholder, court and other approvals, complete the transaction in January 2027.
