Arxis announced that it has entered into a definitive agreement to acquire Omnetics Connector Corporation and has completed the acquisition of MagCanica Inc., strengthening its position in mission-critical electronic and mechanical components for aerospace, defense, medical technology, and industrial markets.
The combined purchase price for the two acquisitions is approximately $890 million, representing 12x fiscal year 2027 estimated adjusted EBITDA. The transactions expand Arxis’ Electronic Components segment with specialized technologies serving long-duration aerospace, defense, space, and medical programs.
Omnetics, based in Minneapolis, Minnesota, designs and manufactures proprietary high-reliability Micro-D-Sub and Nano-D-Sub connectors and interconnect assemblies used in defense, space, commercial aerospace, and medical applications. The company has built a strong position in markets where size, weight, and reliability are critical requirements.
Under the terms of the agreement, Arxis is acquiring Omnetics in an all-stock transaction. The deal is expected to close during the third quarter of 2026, subject to customary regulatory approvals and closing conditions. Following the transaction, Omnetics will operate within Arxis’ Electronic Components segment.
Arxis also completed its acquisition of MagCanica on June 1, 2026 through an all-cash transaction. MagCanica develops non-contact, high-precision torque sensors designed to operate in extreme environments and high-performance rotating systems. The company will also become part of Arxis’ Electronic Components segment.
The company said the acquisitions demonstrate the value of its partnership with Arcline Investment Management, which provides market research, sourcing capabilities, underwriting expertise, and capital allocation support that help expand Arxis’ acquisition opportunities.
William Blair & Company served as financial advisor to Arxis on the Omnetics transaction, while Vermillion Capital advised Omnetics. Kroll Securities served as financial advisor to MagCanica.
