Autodesk announced it has entered into a definitive agreement to acquire MaintainX, a modern maintenance and operations software company, in an all-cash transaction valued at approximately $3.6 billion. The deal is expected to strengthen Autodesk’s efforts to connect design, construction, manufacturing, and operations workflows across the entire asset lifecycle.
The acquisition aligns with Autodesk’s strategy of converging design, make, and operate workflows through a continuous flow of data and insights. As part of that vision, Autodesk recently created Autodesk Operations Solutions (AOS), which brings together the company’s operations-focused technologies under a unified platform.
Autodesk views operations as a significant growth opportunity and a natural extension of its existing platform strategy. By expanding deeper into operations, the company aims to help customers connect workflows, real-world performance data, and lifecycle information to improve reliability, reduce downtime, and generate more value from AI-driven insights. The acquisition is also expected to expand Autodesk’s addressable market while increasing its engagement with customers throughout the lifespan of assets and systems.
MaintainX provides maintenance and operations software used by organizations worldwide to manage work orders, inspections, asset information, maintenance activities, and operational workflows. The company’s platform captures high-frequency operational data related to asset condition, maintenance history, and field performance. Autodesk believes this data will enhance its ability to develop higher-value AI capabilities and strengthen connections between digital models and physical operations.
MaintainX’s existing integrations, operational expertise, and scalable go-to-market model are expected to create expansion opportunities across industries, customer segments, geographies, and adjacent use cases.
Autodesk Operations Solutions currently includes products such as Tandem, Flexsim, Fusion Operations, and Factory Design Utilities. The platform is designed to help organizations create a continuous data-driven loop that spans asset design, deployment, operation, maintenance, and performance optimization.
Autodesk intends to finance the transaction through a combination of cash on hand and debt financing. The acquisition remains subject to regulatory approvals and customary closing conditions and is expected to close later in Autodesk’s current fiscal year.
MaintainX expects to surpass $135 million in annualized recurring revenue for calendar year 2026 while maintaining growth exceeding 50%.
