Axe Compute has sold its legacy Helomics artificial intelligence cancer diagnostics laboratory business to DataMEDS AI in an all-stock transaction that completes Axe Compute’s transition into a pure-play neocloud GPU-as-a-Service company.
Under the agreement, Axe Compute sold wholly owned subsidiary Helomics Corporation in exchange for common shares and common share equivalents of DataMEDS.
Financial terms and the number of DataMEDS shares being issued were not disclosed.
The structure allows Axe Compute to retain economic exposure to the future development of Helomics through its ownership interest in DataMEDS while removing the oncology laboratory business from its operating structure.
Helomics is a Pittsburgh-based functional precision medicine oncology platform that applies AI to real-world tumor data to support drug discovery and cancer treatment decisions.
The business was the final operating asset remaining from Axe Compute’s previous identity as Predictive Oncology.
The company changed its name from Predictive Oncology to Axe Compute in December 2025 as management shifted its strategy toward AI computing infrastructure.
Completing the Helomics divestiture means Axe Compute can now direct its operating resources, capital and management attention entirely toward its neocloud platform.
Axe Compute provides GPU infrastructure for enterprises and AI developers that need access to high-performance computing resources without building and operating all of the underlying infrastructure themselves.
Its strategy centers on providing customers with flexibility across GPU hardware, geography and infrastructure deployment models.
The company operates through two primary offerings.
Axe Compute Access provides customers with access to high-performance GPU infrastructure across multiple global locations.
Axe Compute Build focuses on designing, deploying, owning and operating large-scale dedicated AI infrastructure for customers.
Both offerings are supported by enterprise service-level agreements and infrastructure operations capabilities.
Management sees growing demand for AI compute as companies train and deploy increasingly sophisticated models that require substantial GPU capacity.
By divesting Helomics, Axe Compute is removing a business with a very different operating model and market focus from its core AI infrastructure strategy.
DataMEDS, meanwhile, gains an oncology-focused AI operation that could complement its healthcare data and technology platform.
DataMEDS is focused on integrating health data acquisition and transfer with pharmacy, pharmaceutical-adjacent and telemedicine operations.
Its technology portfolio includes the EinsteinRx artificial intelligence platform, PharmacyChain blockchain-enabled smart contracts technology and the Health Lives Here mobile application.
The company also owns Corexa Health, which provides pharmacy and pharmacy-related services.
DataMEDS sees the Helomics transaction as an opportunity to expand directly into oncology and apply its data-focused healthcare strategy to an area where treatment decisions increasingly rely on combining clinical, molecular and real-world information.
For Axe Compute shareholders, the all-stock transaction creates a different type of exit from Helomics.
Rather than receiving cash and completely eliminating exposure to the business, Axe Compute becomes an investor in DataMEDS and therefore maintains the potential to participate in future value creation if DataMEDS successfully expands Helomics.
The transaction also creates a cleaner corporate structure for Axe Compute as it seeks to establish itself as a focused AI infrastructure provider.
