Badger Meter announced it has signed a definitive agreement to acquire UDlive, a UK-based provider of hardware-enabled software solutions for sewer line monitoring, for $100 million plus contingent consideration.
The transaction, expected to close by the end of April 2026 and funded with cash on hand, is designed to strengthen Badger Meter’s position in the rapidly growing global sewer line monitoring market.
The acquisition will expand Badger Meter’s BlueEdge suite of water management solutions and complement its SmartCover platform. By combining SmartCover’s established presence in the United States with UDlive’s leadership in the United Kingdom, the company aims to create a leading global footprint in sewer monitoring across key markets.
Founded in 2017, UDlive provides low-power, easy-to-install water-level sensors deployed at manholes, paired with its proprietary visualization and analytics software. These solutions deliver continuous, real-time insights into sewer network conditions, helping utilities improve operational efficiency and system resilience. The company has demonstrated strong market traction, achieving a 90% tender success rate and generating $22 million in revenue with positive operating profit in fiscal 2026.
Following the acquisition, Badger Meter plans to leverage its global commercial infrastructure to expand UDlive’s reach beyond the UK into targeted international markets. With SmartCover, utilities get a broader, more flexible set of sewer monitoring solutions tailored to different operational needs and deployment environments.
The deal positions the company to benefit from long-term industry trends, including aging water infrastructure, increased regulatory scrutiny, climate-driven weather variability, and rising demand for data-driven wastewater management solutions. These trends are accelerating adoption of advanced sewer monitoring technologies as utilities seek to reduce overflow events, improve resilience, and optimize capital and operational spending.
