Bank7 To Acquire Century Financial Services For About $137.3 Million And Enter New Mexico

Bank7 Corp. has agreed to acquire Century Financial Services Corporation, the parent company of New Mexico-based Century Bank, in a cash-and-stock transaction valued at approximately $137.3 million.

The acquisition will expand Bank7 into New Mexico and create a combined Southwest banking organization with approximately $3.3 billion in total assets.

Century Bank was founded in 1887 and is one of the remaining independent banks headquartered in New Mexico. It operates eight branches across the state and two loan-production offices in Dallas and Houston.

As of June 30, 2026, Century reported approximately $1.36 billion in assets, $1.23 billion in deposits and $845 million in gross loans.

The acquisition is particularly significant for Bank7 because it adds Century’s approximately $1.2 billion core deposit franchise while extending Bank7’s footprint beyond Oklahoma, Texas and Kansas into the neighboring New Mexico market, with a particular emphasis on Santa Fe.

Bank7 intends to retain the Century Bank name and brand.

Under the merger agreement, Century shareholders will receive aggregate consideration consisting of $70 million in cash and 1,232,657 Bank7 shares.

Based on Bank7’s 10-day average closing price of $54.57 as of September 16, the consideration implies a transaction value of approximately $137.3 million.

Bank7 had previously been selected as the successful bidder for a 71% controlling interest in Century through a court-supervised receivership process.

The new merger agreement provides a path to acquire the entire company instead. Bank7 described the whole-company acquisition as its preferred approach while retaining its rights under the earlier stock-purchase agreement.

The transaction requires Century shareholder approval, banking regulatory approvals and customary closing conditions. Directors, executive officers, the court-appointed receiver and certain minority shareholders representing a substantial majority of Century shares have entered voting agreements supporting the transaction.

Closing is expected in the fourth quarter of 2026.

Bank7 currently operates 12 locations across Oklahoma, the Dallas-Fort Worth area and Kansas and primarily serves business owners and entrepreneurs.
