BASF has confirmed that it is holding exploratory discussions with RAG-Stiftung and Evonik Industries regarding a potential takeover of Evonik. The announcement, issued on September 25, 2026, confirms that discussions are underway but emphasizes that their outcome remains uncertain.

The potential transaction could represent a significant development in the European chemicals industry, although BASF has not disclosed a proposed acquisition price, transaction structure, financing arrangements, or anticipated timetable.

The company also has not indicated whether the discussions will lead to a formal acquisition proposal or definitive agreement.

BASF said it continuously evaluates potential acquisitions as part of its corporate strategy, focusing on opportunities that strengthen its existing businesses, provide a strategic fit, support profitable growth, and create value.

The confirmation places Evonik among the potential acquisition opportunities under consideration as BASF evaluates its longer-term business portfolio.

The discussions involve RAG-Stiftung and Evonik Industries, although BASF’s announcement does not provide further details about the negotiations or the positions taken by the parties.

BASF emphasized that it maintains a disciplined approach to acquisitions. The company has not disclosed any specific financial or operational benefits it expects from a potential combination with Evonik.

The announcement comes as BASF continues focusing its corporate strategy on businesses that complement its existing operations.

Its core portfolio includes Chemicals, Materials, Industrial Solutions, and Nutrition & Care, while its standalone businesses are organized within the Surface Technologies and Agricultural Solutions segments.

BASF operates across numerous industrial and consumer markets, supplying products and chemical solutions to customers in nearly every country.

The company reported approximately €60 billion in sales in 2025 and employs around 95,000 people worldwide. Its shares trade on the Frankfurt Stock Exchange, with American Depositary Receipts also available in the United States.

A potential acquisition of Evonik would need to be evaluated against BASF’s stated criteria for strategic fit, profitable growth, and value creation. However, the company has not announced how Evonik’s operations might fit into its existing portfolio or whether any restructuring would accompany a transaction.

The discussions remain at an exploratory stage, and there is no assurance that an acquisition will proceed.

BASF said it will provide further information to the market without delay if and to the extent required by applicable regulatory obligations.
