Bed Bath & Beyond announced it has signed a letter of intent to acquire the equity interests and substantially all assets of F9 Brands, a portfolio that includes Lumber Liquidators, Cabinets To Go, Gracious Home / Thos. Baker, and Southwind Building Products. The transaction marks a significant step in the company’s strategy to build a national, fully integrated home services platform under Beyond Home Services.
The deal carries a headline purchase price of nearly $150 million, consisting of $37 million in cash and approximately 16 million shares of Bed Bath & Beyond common stock. An additional $25 million earnout may be paid if F9 Brands achieves $20 million in EBITDA within the next five years, subject to final terms.
F9 Brands generated approximately $522 million in net delivered sales in fiscal 2025 and currently holds around $130 million in inventory. The transaction is expected to close following the company’s annual shareholder meeting in May 2026, pending due diligence and any necessary approvals.
The acquisition expands Bed Bath & Beyond’s reach into higher-value, project-based categories such as cabinets, flooring, and custom storage. By integrating product offerings with installation services and financing solutions, the company aims to increase transaction size, margins, and customer lifetime value.
Beyond Home Services will combine brands across storage, closets, cabinets, flooring, installation, renovation, and distribution. Customers will be able to access these offerings through standalone retail locations as well as dedicated spaces within Bed Bath & Beyond and The Container Store locations. The company plans to leverage more than 2.2 million square feet of retail space to create full-service home project centers.
The platform will also include financing options such as credit cards, HELOCs, and credit union programs, positioning the company to participate more deeply in large-scale home improvement projects.
Jason Delves, current CEO of F9 Brands, is expected to lead Beyond Home Services as CEO and join Bed Bath & Beyond’s executive leadership team. Under his leadership, F9 Brands has grown from $145 million to $522 million in sales since 2019.
The company expects the transaction to drive long-term value through sales growth, improved margins, increased purchasing power, and operational efficiencies, while activating its existing customer base across a broader set of homeownership needs.
