Bending Spoons has entered into a €500 million medium- to long-term financing agreement backed by a guarantee from Italian export credit agency SACE.
HSBC Continental Europe acted as sole coordinator and mandated lead arranger. Intesa Sanpaolo served as SACE agent and mandated lead arranger, while BPER Banca Corporate & Investment Banking acted as structuring adviser and mandated lead arranger.
The facility matures in March 2031.
Combined with €495 million of additional term loan financing and a €490 million increase in commitments under Bending Spoons’ revolving credit facility, the company has secured approximately €1.49 billion in new and expanded facilities since the beginning of the second quarter.
The additional term loan and revolving commitments also mature in March 2031 and can be used for general corporate purposes and acquisitions.
Bending Spoons acquires digital businesses and seeks to improve their operations, technology, product development, marketing and monetization.
The company said acquisitions remain the primary focus of its capital allocation strategy.
Its portfolio includes AOL, Brightcove, Eventbrite, Evernote, Harvest, komoot, Remini, StreamYard, Vimeo and WeTransfer.
As of March 2026, Bending Spoons served more than 500 million monthly active users and over nine million monthly paying customers.
The company has followed an acquisition-led strategy for more than a decade and said it has never sold a material business.
SACE is owned by Italy’s Ministry of Economy and Finance and provides financial guarantees, risk protection and other services supporting the international growth of Italian companies.
