Bending Spoons To Acquire Eventbrite In $500 Million All-Cash Deal

Eventbrite has entered into a definitive agreement to be acquired by Bending Spoons in an all-cash transaction valued at approximately $500 million. Under the terms, Eventbrite stockholders will receive $4.50 per share, representing an 82% premium over the company’s 60-day volume-weighted average share price as of market close on December 1, 2025. The agreement has been unanimously approved by Eventbrite’s Board of Directors and remains subject to regulatory approvals and stockholder approval. The companies expect the deal to close in the first half of 2026.

Once the transaction is completed, Eventbrite will become a privately held company and its shares will be delisted from public exchanges. Bending Spoons, which has recently acquired Vimeo and reached a definitive agreement to acquire AOL, described the acquisition as part of its long-term strategy to transform and scale established digital platforms.

Founded nearly two decades ago, Eventbrite has grown into one of the world’s largest marketplaces for live experiences, distributing more than 83 million paid tickets across 4.7 million events in 2024. Bending Spoons plans to strengthen Eventbrite’s technology, accelerate feature development, and explore new product areas, including AI-based event creation, improved discovery, dedicated messaging tools, and a secondary ticket market system.
