Black Pearl Completes $5.75-Per-Share Tender Offer For Selectis Health

Black Pearl Equities has successfully completed its tender offer to acquire all outstanding shares of Selectis Health for $5.75 per share in cash, moving the healthcare company toward becoming a wholly owned subsidiary of Black Pearl. The tender offer expired on August 31, 2026.

At expiration, approximately 2.79 million shares had been validly tendered and not withdrawn, representing approximately 90.93% of Selectis Health’s outstanding common stock.

Black Pearl said all conditions to the tender offer were satisfied and it accepted all validly tendered shares for payment.

Black Pearl now expects to complete the acquisition through a merger without requiring an additional vote or meeting of Selectis shareholders.

The remaining Selectis shares not purchased in the tender offer will be converted into the right to receive the same $5.75 per share in cash paid through the tender offer.

Following completion of the merger, Selectis is expected to become an indirect wholly owned subsidiary of Black Pearl.

Selectis Health is an owner and operator of healthcare facilities focused on skilled nursing, assisted living and independent living.

The company currently operates eight properties in Arkansas and Oklahoma, providing post-acute and skilled nursing care, assisted and independent living services and continuing-care retirement programs.

Its reimbursement sources include Medicare, Medicaid and private-pay arrangements.
