Blackstone And Tinicum To Buy Aerospace Supplier Senior In $1.9 Billion Deal

Senior plc has agreed to a £1.4 billion, approximately $1.9 billion, takeover by a consortium comprising private equity firms Blackstone and Tinicum, marking the culmination of a competitive bidding process for the UK-listed aerospace and defense supplier.

The consortium has offered 300 pence per share in cash, representing a 2.8% premium to the company’s last closing price. Senior’s board has unanimously recommended the offer to shareholders, signaling confidence in the strategic rationale and certainty of the transaction.

The deal follows months of takeover interest in Senior, driven by rising investor appetite for aerospace and defense assets amid increasing global military spending and geopolitical tensions. The company had previously rejected a £1.14 billion bid from Advent, while Arcline Investment Management withdrew from the process shortly before the agreement was reached.

Senior’s largest shareholder, Alantra, which holds more than 17% of the company, has indicated its willingness to support the transaction, further strengthening the likelihood of deal completion.

Headquartered in the UK, Senior supplies components to major aerospace and defense customers, including Lockheed Martin, Boeing, and Airbus. While civil aerospace remains its largest segment, approximately 16% of its revenue is derived from defense-related business.

For Blackstone and Tinicum, the acquisition underscores continued conviction in the long-term growth of the aerospace and defense sector. The consortium is expected to leverage its sector expertise and may integrate Senior with existing portfolio assets, including AeroFlow Technologies, to enhance operational performance and drive earnings growth.

The transaction reflects a broader trend of private equity firms targeting industrial and defense-linked businesses positioned to benefit from sustained government investment and long-term structural demand.
