Blackstone, a global alternative asset management firm, has completed a $1.1 billion senior notes offering through its indirect subsidiary, Blackstone Reg Finance Co. L.L.C.
The transaction consists of two series of fixed-rate securities with different maturities.
The first includes $600 million of 5.650% senior notes due 2031, while the second includes $500 million of 5.900% senior notes due 2033.
The notes are fully and unconditionally guaranteed by Blackstone Inc. and several of its indirect subsidiaries, including Blackstone Holdings entities.
Blackstone intends to use the proceeds from the completed financing for general corporate purposes.
The offering provides the firm with additional capital resources and establishes borrowing obligations extending into 2031 and 2033.
The transaction was conducted under an effective shelf registration statement filed with the U.S. Securities and Exchange Commission.
Citigroup Global Markets, Goldman Sachs, Morgan Stanley, SMBC Nikko Securities America, and Wells Fargo Securities were identified as contacts for obtaining the offering materials.
The financing is separate from Blackstone’s investment funds and their underlying portfolio-company transactions.
Instead, the notes represent debt financing issued by an indirect Blackstone subsidiary and backed by guarantees from the parent company and designated affiliates.
The two-tranche structure provides different maturity dates and interest rates within the same completed financing.
Blackstone operates across multiple alternative investment strategies, and corporate financing activities such as this offering support its broader organizational capital needs.
The completed offering adds to Blackstone’s available funding resources while establishing future principal repayment obligations under the two series of notes.
