Bluebird Fiber Completes Purchase Of Everstream Assets

Bluebird Fiber announced that it has completed the purchase of substantially all of Everstream’s assets and operations, adding a large Midwest fiber network to its infrastructure platform. The transaction combines the companies’ networks and expands Bluebird Fiber’s regional footprint across a broad swath of the central United States.

Everstream operates an approximately 25,000-route-mile fiber network serving business customers across the Midwest. With the acquisition completed, the combined organization now operates more than 36,000 route miles of fiber infrastructure spanning from Kansas to Ohio and extending north to the Canadian border.

The enlarged network includes more than 400,000 on-net and near-net buildings across 12 states that can be connected within 90 days. Bluebird Fiber focuses on delivering high-capacity connectivity for enterprise, hyperscale, carrier, and government customers that require reliable network performance.

Following the acquisition, the combined business will operate under the Bluebird Fiber name. The companies confirmed that their networks are already interconnected, allowing customers to place orders between any two points on the unified network immediately.

Everstream customers will receive additional details about the transition from their Bluebird Fiber representatives and are expected to continue receiving the same level of service.

The completion of the transaction coincided with Everstream emerging from Chapter 11 restructuring proceedings.

Bluebird Fiber received legal advice from Kirkland & Ellis LLP. Leo Berwick served as financial due diligence and tax advisor, TD Securities acted as sole financial advisor, and BSP served as technical due diligence advisor.

Everstream was advised by Weil, Gotshal & Manges LLP as legal advisor. Alvarez & Marsal North America served as financial advisor, PJT Partners acted as investment banker, Bank Street Group served as M&A advisor, and Richards, Layton & Finger acted as special counsel.
