BlueLinx Buying Disdero Lumber Company For $96 Million To Expand Specialty Wood Products Portfolio

BlueLinx Holdings, a leading U.S. wholesale distributor of building products, announced the acquisition of Disdero Lumber, a specialty wood products distributor based in Clackamas, Oregon. The company was purchased from privately held Tumac Lumber Company for an aggregate price of approximately $96 million. Adjusted for an estimated $8 million in expected tax benefits, the net transaction value is about $88 million.

The deal was financed with cash on hand and is not expected to impact BlueLinx’s strong liquidity position or low net leverage ratio. It is anticipated to be immediately accretive to earnings.

Disdero, operating since 1953, distributes premium specialty wood products, including clear lumber and architectural wood elements used primarily in high-end custom homes, decks, and upscale multi-family and commercial projects. Its products reach nearly all 50 states and are recognized for their quality and craftsmanship.

The acquisition complements BlueLinx’s recent expansion efforts in the Pacific Northwest, including the opening of a new greenfield distribution center in Portland, Oregon, and the acquisition of Vandermeer Forest Products in Washington state. The company stated that integrating Disdero will enhance its focus on specialty products, geographic reach, and distribution network efficiency.

BlueLinx expects to use its national footprint to introduce Disdero’s premium products to new customers while supporting Disdero’s existing client base. The deal aligns with BlueLinx’s strategy to grow its higher-margin specialty product portfolio and expand its distribution presence in key markets.
