BOXABL Appoints Former EY Audit Partner Timothy Goldsmith To Board As Audit Committee Chair

BOXABL has appointed Timothy Goldsmith, CPA, to its board of directors as Chairman of the Audit Committee, expanding its financial oversight and corporate governance capabilities following its transition to a publicly traded company.

The appointment became effective on September 24, 2026. Goldsmith will also serve on BOXABL’s Nominating and Corporate Governance Committee.

Goldsmith brings nearly 21 years of experience at EY, most recently serving as an audit partner from 2018 to 2026.

During his tenure, he oversaw more than 20 complex public and private company audits and led a team of more than 30 audit executives.

His experience includes directing audits for businesses generating between $200 million and more than $3 billion in annual revenue.

Goldsmith has advised audit committees and corporate boards on financial reporting, internal controls, and risk management.

His technical background includes U.S. GAAP, International Financial Reporting Standards, SEC and PCAOB requirements, and Sarbanes-Oxley compliance.

He also has experience with mergers and acquisitions accounting, business combinations, consolidated financial reporting, and cross-border transactions.

Earlier in his EY career, Goldsmith worked in the firm’s assurance and advisory practice and served in a U.S. SEC capital markets and professional practice position in Hong Kong.

There, he advised clients on cross-border transactions and initial public offerings involving U.S. operations.

At BOXABL, Goldsmith will lead the Audit Committee as the company continues developing the financial reporting and governance infrastructure required of a Nasdaq-listed business.

His appointment follows the recent additions of Larry King as Chief Financial Officer and Heather Clayton as Chief Accounting Officer.

Together, the appointments expand BOXABL’s senior financial leadership and board-level oversight.

Dr. Morris A. Davis, who previously chaired the Audit Committee, will remain a committee member.

Davis joined BOXABL’s board in December 2025 and is the Paul V. Profeta Chair of Real Estate at Rutgers Business School. He previously served as Chief Housing Economist for the White House Council of Economic Advisers.

Goldsmith’s appointment reflects the company’s efforts to strengthen its financial governance following its public listing.

BOXABL began trading on the Nasdaq Stock Market on July 20, 2026, after completing its business combination with FG Merger II Corp.

Founded in 2017 and headquartered in North Las Vegas, BOXABL develops factory-built modular housing systems designed for scalable production.

Its flagship product, the Casita, is a 361-square-foot studio unit that includes a kitchen, bathroom, and utilities. The company says the structure can unfold on-site in less than an hour.

BOXABL is also developing connectable and stackable modules intended for townhouses, multifamily buildings, and larger single-family homes.

Since its founding, the company reports raising more than $230 million from over 50,000 investors.

Goldsmith holds a bachelor’s degree in accounting and business economics from Ohio University and is a certified public accountant licensed in Ohio, Georgia, New Jersey, and Nevada.
