Brightline Interactive Secures $1.25 Million Strategic Investment Led By Unusual Machines CEO Allan Evans

Brightline Interactive, a developer of technology for physical AI and autonomous systems, has entered into an agreement for a $1.25 million private investment in public equity (PIPE) led by Dr. Allan Evans, CEO of Unusual Machines. The financing will support continued development of Brightline’s SpatialCore platform and its expansion into additional markets and applications for autonomous technologies.

Evans is leading the investment alongside other participating investors. His involvement is in a personal capacity, meaning the financing is not a corporate investment, acquisition, or partnership between Brightline Interactive and Unusual Machines.

The transaction involves units consisting of common stock and warrants to purchase additional shares. The units are priced at $0.70 each, above Brightline’s closing share price on September 23, 2026, according to the company.

The financing is expected to generate $1.25 million in gross proceeds, with closing anticipated on September 25, 2026, subject to customary closing conditions.

Brightline intends to use the proceeds to advance SpatialCore, its interoperability and operational context platform designed to help autonomous systems, sensors, and artificial intelligence applications develop a shared understanding of the physical world.

The technology addresses a challenge facing organizations deploying multiple autonomous platforms: enabling systems built by different manufacturers and operating with different data sources to exchange information and interpret their surroundings consistently.

SpatialCore is designed to connect information from sensors, autonomous systems, digital twins, geospatial environments, and other data sources into a shared, AI-ready representation of the physical world.

By integrating these different sources, Brightline aims to provide the operational context required for people, AI applications, and autonomous machines to work together across complex environments.

The company is pursuing opportunities across defense, government, and commercial markets, where organizations increasingly use autonomous systems for activities involving physical infrastructure, sensing, and operational decision-making.

The investment will help Brightline continue developing SpatialCore while pursuing new applications across the emerging physical AI market.

Evans brings experience in autonomous systems and the drone industry. He has served as CEO of Unusual Machines since December 2023 and previously held the position of Chief Operating Officer at Red Cat Holdings.

He also holds graduate degrees from the University of Michigan.

His investment reflects his interest in developing technology that allows autonomous systems and connected platforms to operate more effectively together.

For Brightline, Evans’ participation also establishes a relationship with an investor who has experience developing and operating businesses serving the drone and autonomous systems markets.

Under the PIPE agreement, investors will receive 100% warrant coverage, with warrants initially carrying an exercise price of $2 per share.

The warrant exercise price will be adjusted for certain capital transactions, including Brightline’s previously announced stock split scheduled to become effective on September 28, 2026.

Following that transaction, the warrant exercise price will be adjusted to $16 per post-split share.

The warrants also contain a provision allowing Brightline to redeem outstanding warrants under specified conditions.

If the volume-weighted average price of Brightline’s common stock exceeds $3 for five consecutive trading days while the warrants are exercisable, the company may elect to redeem them, subject to additional conditions.

Following the planned stock split, that redemption threshold will adjust to $24 per share.

These provisions establish the potential for additional capital if the warrants are exercised, although the announcement does not guarantee that any warrant exercises will occur.

The financing represents a relatively small but strategically significant capital investment for Brightline as it seeks to develop the infrastructure needed to connect increasingly sophisticated autonomous technologies.

The company’s longer-term objective is to provide an interoperability layer that allows different physical AI systems to share data and operational context rather than functioning as isolated technologies.
