CACI International announced that it has completed its $2.6 billion acquisition of ARKA Group in an all-cash transaction, adding advanced space-based sensing and artificial intelligence capabilities to its national security technology portfolio.

The deal significantly expands CACI’s presence in space-focused intelligence and strengthens its position in the growing geospatial intelligence market. ARKA brings electro-optical and infrared sensing technology, hyperspectral imaging capabilities, and agentic AI-based software designed to generate geospatial intelligence for critical national security missions.

With the acquisition, more than 1,100 ARKA employees have joined CACI. The integration is expected to accelerate CACI’s space strategy while broadening its ability to support evolving defense and intelligence requirements.

ARKA’s space-based sensors expand CACI’s existing portfolio across land, sea, and air domains, enabling the company to deliver more integrated intelligence capabilities. ARKA also contributes geospatial intelligence technologies that complement CACI’s established signals intelligence offerings.

CACI said the combined capabilities will allow the company to deliver multi-source intelligence more rapidly to national security customers, including organizations within the Intelligence Community, the U.S. Space Force, and other defense-related agencies.

The acquisition was completed with ARKA previously owned by funds managed by Blackstone Tactical Opportunities. Wells Fargo served as CACI’s exclusive financial advisor and provided committed financing for the transaction. Gibson Dunn acted as legal advisor for CACI, while J.P. Morgan Securities and Evercore served as financial advisors for ARKA. Simpson Thacher & Bartlett served as legal advisor for ARKA.

Founded as a national security technology company, CACI employs approximately 27,000 people and develops technologies intended to accelerate innovation, increase operational efficiency, and address emerging threats for government customers.

KEY QUOTE:

“Today, more than 1,100 ARKA employees join us as we continue to expand to the limits of national security. ARKA purposefully accelerates our space market strategy while adding technologies that strengthen and expand our position in this rapidly growing domain, which is traditionally defined by high technical barriers to entry. As the threat environment grows more complex, this acquisition advances our long-term vision to deliver integrated, mission-critical space and ground capabilities that strengthen national security and support the evolving priorities of the Intelligence Community, the U.S. Space Force, and the Department of War.”
