Capgemini (a global business and technology transformation partner) and WNS (a leading digital-led business transformation and services company) announced that they have entered into a definitive transaction agreement under which Capgemini will acquire WNS for a cash consideration of $76.50 per WNS share, which represents a premium of 28% to the 90-day average share price from the time the deal was announced.
The total cash consideration will amount to $3.3 billion, excluding WNS’ net financial debt. And the deal has been unanimously approved by both Capgemini’s and WNS’ Boards of Directors.

The merger with Capgemini positions the company as a leader in Digital BPS, with expected combined revenues of €1.9 billion in 2024. This partnership will enhance Capgemini’s ability to support clients in their business and technology transformations while unlocking cross-selling opportunities and building capabilities for Intelligent Operations.
Intelligent Operations leverages Generative AI and Agentic AI to redesign business processes, focusing on efficiency, speed, and agility through hyper-automation. This transition marks a shift from labor-intensive services to consulting-led, tech-driven solutions, addressing the demand for end-to-end value creation.
The collaboration between Capgemini and WNS will create a powerhouse in Intelligent Operations, utilizing Capgemini’s significant investments in AI and partnerships with companies such as Microsoft and Google. The combined entities are projected to generate revenues of €23.3 billion in 2024, with anticipated revenue synergies of €100 million to €140 million by 2027 and cost synergies of €50 million to €70 million.
Capgemini has secured €4 billion in bridge financing to support the acquisition and plans to refinance with existing cash and debt issuance.
