CCC Intelligent Solutions Holdings has entered into a definitive agreement to be acquired in an all-cash transaction by a consortium led by GTCR and including Elliott Investment Management, with an enterprise value of approximately $6.1 billion.
Under the agreement, CCC stockholders will receive $7.75 in cash for each share of common stock. The price represents a premium of approximately 44% to CCC’s unaffected closing price on July 9, 2026, the final trading day before media reports about a potential sale, and approximately 59% to the 30-day average price as of that date.
Chicago-based CCC provides SaaS and AI technology for the insurance and automotive repair ecosystem. The company connects more than 35,000 businesses, including insurers, repair facilities, automakers, and parts suppliers, through workflows supporting claims and repair decisions.
CCC has incorporated AI into its products for more than a decade and draws on more than 40 years of industry data. Following the acquisition, GTCR and Elliott plan to support additional investment in CCC’s AI and agentic capabilities, product development, network expansion, and broader platform offerings.
CCC Chairman and CEO Githesh Ramamurthy said the transaction follows a review of strategic alternatives and is intended to provide stockholders with immediate cash value while giving the company additional resources to accelerate its next stage of development.
GTCR highlighted CCC’s position across the claims and repair lifecycle and sees opportunities to support customers as insurers and other participants increasingly use AI to improve decision-making and operational efficiency.
Elliott also pointed to CCC’s position as an intermediary across the automotive insurance and repair ecosystem. The firm said CCC’s connections among insurers, repairers, automakers, and parts suppliers create data advantages and network effects that can support the company’s next generation of software and AI capabilities.
The transaction has been approved by CCC’s board of directors and is expected to close in the first quarter of 2027, subject to regulatory approvals, shareholder approval, and other customary conditions. The acquisition is not subject to a financing condition.
Once the transaction is completed, CCC will become a privately held company and its common stock will no longer trade on Nasdaq. Until closing, the company will continue operating independently as a public company.
CCC plans to report its third-quarter 2026 financial results on October 29, 2026, but will not hold an earnings conference call or webcast because of the pending transaction.
Morgan Stanley is serving as financial advisor to CCC, with Kirkland & Ellis acting as legal counsel. J.P. Morgan is serving as lead financial advisor to GTCR and lead arranger of committed financing, while Citi is also advising GTCR and participating in the financing. Simpson Thacher & Bartlett is legal counsel to GTCR, while Gibson, Dunn & Crutcher and Debevoise & Plimpton are advising Elliott.
GTCR manages approximately $45 billion in equity capital and has invested more than $35 billion across over 300 companies since its founding in 1980.
