Cencora, a global pharmaceutical solutions company, announced it has signed a definitive agreement to acquire EyeSouth Partners’ retina business for $1.1 billion, strengthening its position in specialty eye care through its Retina Consultants of America platform.
Upon closing, the affiliated retina physicians from EyeSouth Partners will join Retina Consultants of America, a leading management services organization focused on retina care. The transaction represents a continuation of Cencora’s strategy to expand its specialty healthcare footprint and deepen capabilities in ophthalmology.
The company said the deal is expected to be slightly accretive to adjusted diluted earnings per share within the first twelve months following closing, net of financing costs. The transaction remains subject to customary closing conditions, including regulatory approvals, and is not currently reflected in Cencora’s fiscal 2026 financial guidance.
The acquisition is expected to enhance access to clinical trials, research capabilities, and advanced treatment options for patients, while supporting physicians through Retina Consultants of America’s physician-centered model.
Support: Cencora is working with BofA Securities as lead financial advisor, alongside Citi, with Sidley Austin LLP serving as legal advisor. EyeSouth Partners, a portfolio company of Olympus Partners, is advised by Jefferies LLC and Kirkland & Ellis LLP.
