Clarify Health Acquires Loyal Health To Create Closed-Loop Network Intelligence And Patient Activation Platform

Clarify Health has announced the completion of its acquisition of Loyal Health Holdings, creating what the company describes as the industry’s first closed-loop network intelligence engine — a single platform that identifies where patients need to go for care, activates them into the right provider, and measures whether it worked. The combination unifies Clarify’s Meridian intelligence platform with Loyal’s Care Activation Platform, which manages more than 80,000 provider and location profiles and powers millions of patient searches and real-time scheduling transactions annually across a nationwide base of health system customers. Financial terms were not disclosed.

The acquisition addresses a structural gap that has long plagued health systems: the intelligence about where patients need to go for care lives in one system, while the tools to move patients into that care live in another. Industry research estimates that 30 to 50% of referrals never result in a completed visit, costing health systems 10 to 30% of potential revenue — a significant problem at a moment when median hospital operating margins hover near 1%. The combined platform closes this loop by connecting Meridian’s identification of high-value referral corridors and quantification of leakage with Loyal’s targeted outreach, digital engagement, and real-time scheduling capabilities, while measuring the full chain from referral identification through patient conversion and downstream utilization in a single view.

Loyal, founded in 2015 and among the first companies to bring AI to digital patient engagement, operates as a wholly owned subsidiary of Clarify Health. The combined platform is healthcare-native, with clinically validated taxonomies, native EHR integrations, and AI-powered scheduling, chat, and predictive propensity engines. Nearly 500 hospitals rely on Loyal’s platform. Todd Gottula, CEO and Co-Founder of Clarify, leads the combined company. Orrick, Herrington & Sutcliffe served as legal counsel to Clarify, with Goodwin Procter serving as legal counsel to Loyal and OM Partners as financial advisor to Loyal.
