CodeRabbit has raised $143 million in Series C funding at a $1.5 billion valuation as the AI code review company expands into what it calls Agentic Change Management. Atomico and Smash Capital co-led the financing. New investors included BMW i Ventures, Datadog, Hirtle Callaghan, SineWave Ventures, and Scenic Management. Existing investors CRV, Scale Venture Partners, Flex Capital, Pelion Venture Partners, Harmony Partners, and Engineering Capital also participated. Atomico partner Luca Eisenstecken will join CodeRabbit’s board.
The financing comes less than a year after CodeRabbit’s $60 million Series B. The company said revenue increased more than fivefold year-over-year as engineering teams adopted AI-powered code review and governance infrastructure.
CodeRabbit now conducts more than 2 million code reviews per week and has more than 17,000 customers, including Adyen, BMW, Indeed, JFrog, NVIDIA, Trivago, and Campfire. The company also plans to invest more than $10 million over the next 12 months to keep its AI code review and agent capabilities free for open-source projects and maintainers.
CodeRabbit plans to use the Series C funding for international expansion, research, and product development.
The company’s newly introduced Agentic Change Management platform is designed to help organizations govern software changes created by both humans and AI agents. CodeRabbit argues that AI development is changing the traditional software workflow because developers, product managers, designers, automated agents, support systems, and observability platforms can increasingly generate code before teams have prioritized or approved the underlying work.
Agentic Change Management extends CodeRabbit’s existing AI code review system into validation, prioritization, explanation, and continuous code monitoring.
CodeRabbit Triage scores incoming pull requests according to factors including value, urgency, risk, dependencies, readiness, and reviewer fit. It can route consequential changes to human reviewers while directing lower-risk work into automated processes.
CodeRabbit Change Stack provides a structured representation of how software changes affect contracts, domain behavior, integrations, tests, migrations, and the broader architecture.
CodeRabbit Security continuously scans production code for vulnerabilities and maintainability risks. The system is designed to identify complex issues including authorization bypasses, insecure direct object references, and business-logic vulnerabilities before proposing fixes through the pull request process.
The company has also opened an office in London’s Moorgate district and grown to 50 full-time employees across London and the European Union. CodeRabbit plans additional European expansion as well as entry into Japan and other Asian markets.
