Codis Acquiring Catalent’s Nottingham UK Facility

Codis announced an agreement to acquire Catalent Pharma Solutions’ facility in Nottingham, UK. The transaction is expected to close in the third quarter of this year, subject to customary closing conditions.

Codis is a global contract development and manufacturing organization specializing in spray drying, amorphous solid dispersions, and advanced particle engineering solutions. The Nottingham acquisition will add oral solid dose development and small-scale manufacturing capabilities.

The deal is intended to create a leading single-partner path in Europe for integrated spray dry solutions. This would span development, clinical supply, commercial intermediates, and final oral dose forms.

The Nottingham site brings more than two decades of expertise in formulation development, clinical supply, development-scale spray drying, and oral solid dose solutions. Codis said it is also gaining a highly experienced team and deep scientific expertise through the acquisition.

The facility will complement Codis’ large-scale commercial spray drying facility in Haverhill, UK. That site is undergoing a major expansion with a new GEA Pharma-SD type PSD-4 commercial spray dryer scheduled to be validated in 2027.

Codis said the acquisition will strengthen its particle engineering expertise and augment its bioavailability enhancement portfolio. The company also said the deal will combine development, analytical, clinical, and small-scale commercial manufacturing capabilities at the Nottingham site.

The close proximity of the Nottingham and Haverhill sites is expected to create a strategic advantage. Codis said it can offer scientific expertise and integrated manufacturing capabilities within a single organization and quality system.

Codis also said the acquisition addresses a major development challenge for small-molecule drug candidates. Since many small-molecule candidates suffer from poor solubility, spray-dried dispersions have become an important approach for improving bioavailability.

By combining formulation development and GMP manufacturing, Codis said it can reduce transfer risk from development to commercial-scale manufacturing. The company believes this integrated model can provide a faster and lower-risk path for advancing molecules.

Codis serves the pharmaceutical, consumer health, nutraceutical, and OTC sectors. The company has more than 400,000 square feet of cGMP facilities in St. Louis, Missouri; Seymour, Indiana; and Haverhill, UK.
