Deluxe Completes Celero Commerce Acquisition, Expanding Payments Platform To $70 Billion In Annual Volume

Deluxe has completed its acquisition of Celero Commerce, expanding its merchant services operation and accelerating the company’s transformation toward payments and data-focused businesses. The deal was initially announced on June 18. Financial terms were not disclosed in the completion announcement.

Celero provides payment technology and services to small and midsized businesses and strategic partners.

The combination is expected to create a payments platform processing more than $70 billion in annual gross transaction volume and move Deluxe closer to becoming one of the 10 largest non-bank merchant acquirers, based on Nilson reporting.

Deluxe expects the acquisition to add more than 55,000 merchant relationships and 130 bank partners to its existing customer and distribution network.

The transaction is expected to be accretive to Deluxe’s adjusted earnings per share during the first full year after closing.

Deluxe has also identified more than $15 million in expected cost synergies and believes the acquisition will support additional revenue growth and EBITDA margin expansion.

The combined company plans to complete a phased integration process designed to maintain uninterrupted service for customers, merchants and financial institution partners.

Deluxe plans to update its full-year 2026 guidance to reflect the Celero acquisition when it reports second-quarter results on August 5, 2026.

The company also expects to hold an investor day in December to discuss the integrated business and its broader strategic direction.

BofA Securities served as Deluxe’s financial adviser. Troutman Pepper Locke acted as U.S. legal counsel, while Bennett Jones served as Canadian counsel.
