Diginex Limited, a provider of Sustainability RegTech solutions, has signed a non-binding MOU to acquire 100% of IDRRA Cyber Security Ltd. (Findings), which is backed by Magenta Venture Partners and specializes in supply chain risk monitoring and vendor risk automation for cybersecurity and sustainability. This acquisition supports Diginex’s mission to expand its technological capabilities in compliance data verification and regulatory automation.
The deal includes up to $305 million—$270 million in Diginex shares and up to $35 million in cash, with a portion contingent on financial targets. Share value will be set using a 60-day trailing VWAP, with lock-up periods for Findings’ shareholders. Up to $15 million in cash will be paid at closing; remaining amounts are tied to business performance through fiscal years 2026 and 2027.
Completion depends on due diligence, regulatory approvals, and the finalization of transaction documents. Diginex will also support Findings’ growth following the deal’s closure. Findings offers AI-based vendor risk management, real-time cloud audits, continuous monitoring, and secure data sharing. The acquisition will help Findings scale globally, utilizing Diginex’s resources to enhance supply chain security. The MOU includes a 45-day exclusivity period for negotiations.
