Draganfly announced the completion of its previously announced acquisition of Skip Dynamix, expanding its defense portfolio with ultra-low-cost, mass-producible fixed-wing drone capabilities.
The transaction carries a total value of up to $7.525 million. The consideration includes a cash payment of $2.525 million at closing, $2.5 million in Draganfly common shares issued through a special warrant arrangement, and up to $2.5 million in earn-out consideration payable in cash or, at Draganfly’s discretion, up to 80% in common shares. The stock component is based on a deemed price of $6.46 per share and is subject to certain retention and performance milestones.
With the acquisition completed, Draganfly has integrated Skip Dynamix’s fixed-wing drone platform architecture with its own manufacturing, AI, autonomy, and military systems capabilities. The company said the combination strengthens its position in the growing market for affordable autonomous aerial systems.
Skip Dynamix’s Orca platform adds a long-range, hand-launchable fixed-wing capability to Draganfly’s existing multi-rotor lineup, which includes the Flex FPV, Apex, Commander 3XL, and Heavy Lift systems. The acquisition is also expected to expand Draganfly’s reach across defense, government, national security, and international markets while providing access to Skip Dynamix’s existing opportunity pipeline.
Draganfly said the transaction enhances its positioning with U.S. Department of War programs, NATO modernization initiatives, and Indo-Pacific security efforts. The company plans to incorporate Skip Dynamix technologies into its broader defense ecosystem, including AI-enabled autonomy, sensor integration, and next-generation mission systems.
As part of the deal, Skip Dynamix founders Jonathan Baron and Andrew Chapman will remain with the combined company under employment agreements, contributing their expertise in fixed-wing small unmanned aerial systems technology.
Headquartered in Delaware, Skip Dynamix develops long-range, hand-launchable fixed-wing drones, including the Orca platform, for customers in defense, national security, government, and international markets.
Draganfly, which has operated for more than 25 years, provides drone solutions and software serving public safety, military, agriculture, industrial inspection, security, mapping, and surveying markets.
