Dynamic Frontier Holdings Receives Approvals To Acquire 100% Of Teghout Copper-Molybdenum Mine Operator

Dynamic Frontier Holdings has received the regulatory approvals required to proceed with its acquisition of 100% of Teghout CJSC, the operator of one of Armenia’s largest copper-molybdenum deposits.

The transaction will be completed through Cuprar RA, a subsidiary of U.S.-registered Dynamic Frontier Holdings, which will acquire all of the outstanding shares of Teghout CJSC.

The transaction will also include Teghout CJSC’s outstanding debt, giving Dynamic Frontier Holdings control of both the company’s equity and its existing debt obligations as part of the ownership transition.

The U.S. Department of the Treasury authorized Dynamic Frontier Holdings on June 1, 2026 to acquire 100% of Teghout CJSC’s shares and its outstanding debt.

That approval represented an important regulatory step toward completing the transaction and establishing a new ownership structure for the mining company.

Armenia’s Competition and Consumer Protection Commission subsequently approved the acquisition by Cuprar RA on July 8, 2026, clearing another major regulatory requirement.

With those approvals in place, Dynamic Frontier Holdings is positioned to proceed with completion of the acquisition.

Following closing, Dynamic Frontier Holdings will become the ultimate parent company of Teghout CJSC through Cuprar RA, giving the U.S.-registered investment company full ownership of the mining operator.

Teghout CJSC operates the Teghout copper-molybdenum mine in Armenia’s Lori Province.

The Teghout deposit is considered one of Armenia’s largest copper-molybdenum deposits, making the acquisition a significant ownership change involving an important mineral asset within the country.

Copper and molybdenum are the primary commodities associated with the Teghout operation, and the mine represents a substantial part of Armenia’s domestic mining sector.

The acquisition provides Teghout with a new ownership framework as Dynamic Frontier Holdings takes control of the company and its mining operations.

Dynamic Frontier Holdings said the transaction represents an important step in the continued development of the Teghout mining operation, with the new ownership structure intended to provide a foundation for the asset’s future development.

Cuprar RA will serve as the direct ownership vehicle for the investment, while Dynamic Frontier Holdings will remain the ultimate parent company overseeing the investment.

The completion of the regulatory process brings the transaction closer to final closing and marks a major change in ownership for one of Armenia’s largest copper-molybdenum assets.
