Echo Global Logistics announced it has signed a definitive agreement to acquire ITS Logistics, a Reno, Nevada-based third-party logistics provider known for its drop-trailer and trailer-pool program, DropFleet, and capabilities spanning dedicated capacity, intermodal and drayage, freight security, omnichannel fulfillment, and sustainability-focused transportation strategies.
The companies said the combination would create a larger transportation and logistics platform with pro forma 2025 revenue of about $5.4 billion, adding scale for Echo while accelerating ITS’s solutions through Echo’s technology platform. Echo said its automation, machine learning, and AI-driven tools support functions such as pricing, capacity sourcing, shipment execution, and exception management, and that extending those capabilities into ITS’s trailer pool and dedicated operations should improve network optimization, speed of response, and real-time visibility.
ITS will continue operating with its existing leadership team and customer-facing structure, according to the release, while gaining access to Echo’s technology platform, carrier network, and enterprise commercial capabilities. The transaction is expected to close in the first half of 2026, subject to customary closing conditions and regulatory approvals.
Support: Goldman Sachs served as lead financial advisor and UBS Group AG served as financial advisor to Echo, with Kirkland & Ellis acting as Echo’s legal counsel. J.P. Morgan Securities served as lead financial advisor and Jefferies served as financial advisor to ITS, with Weil, Gotshal & Manges serving as ITS’s legal counsel.
