Einride has entered into a definitive agreement to acquire Flipturn, a developer of charging and energy management software for electric vehicle fleets, in an all-stock transaction valued at $38.4 million. The proposed acquisition is intended to strengthen Einride’s U.S. operations and create what the company expects will become North America’s largest heavy-duty electric vehicle charging ecosystem.
The transaction will add Flipturn’s customer base and more than 250 megawatts of charging capacity to Einride’s platform. Flipturn works with major truckload transportation companies, autonomous vehicle operators, last-mile delivery fleets, charging providers and commercial property owners across North America.
Einride said the acquisition would more than double the amount of energy managed through its platform. It also plans to connect fleets seeking heavy-duty charging capacity with third-party charging networks that have available infrastructure.
By aggregating charging demand across a larger customer base, Einride expects to negotiate more competitive access to outside charging networks. This model could help fleet operators locate available charging sites, reduce energy costs and improve the reliability of electric freight operations.
Flipturn’s platform manages electric vehicle chargers, energy consumption, driver access and payment processing. It also coordinates on-site controllers and monitors charging equipment to help keep infrastructure available and operational.
The company’s energy management technology can predict charging times, optimize power delivery and adapt to the behavior of each fleet’s vehicles and batteries. These capabilities are intended to reduce electricity expenses associated with time-of-use rates and peak demand charges.
Utilities may charge commercial customers higher rates during periods of heavy electricity demand. Fleet operators can potentially lower those costs by scheduling charging during less expensive periods and managing how much power is drawn across multiple vehicles at the same time.
Flipturn’s technology will be integrated with Saga AI, Einride’s platform for optimizing electric and autonomous freight operations. Saga AI has supported more than 19 million electric miles worldwide by helping customers manage vehicle utilization, energy consumption and operating performance.
Einride believes the combination will create a vertically integrated electric freight technology stack. The expanded platform is expected to include freight management, electric and autonomous vehicles, charging infrastructure software, energy optimization and a brokerage layer connecting fleets with third-party charging networks.
Einride said the acquisition addresses a major challenge facing commercial fleet electrification. Operators not only need access to electric trucks, but also dependable charging infrastructure, energy management software and tools that coordinate vehicles with available power.
Under the agreement, Einride will pay the $38.4 million purchase price through American depositary shares representing its ordinary shares. The final number of shares issued to Flipturn investors will be calculated using Einride’s volume-weighted average share price from June 10, 2026, through two trading days before closing.
American depositary shares allow investors in the United States to hold an interest in shares of a foreign company through securities that trade in the U.S. market. A volume-weighted average price reflects both a security’s price and the amount traded during the measurement period.
As of the market close on July 20, 2026, Einride’s volume-weighted average share price since June 10 was approximately $10. Flipturn shareholders may also receive additional Einride shares if the acquired business achieves specified performance milestones.
The acquisition is expected to close in July 2026, subject to regulatory approvals and customary closing conditions. The completion date, operational benefits and potential earnout payments remain dependent on the transaction closing and the successful integration of Flipturn.
Flipturn’s existing customers are expected to continue working with the same platform and team following the acquisition. Einride plans to support the business with its technology, scale and broader freight network.
