Elutia To Divest SimpliDerm Business For Up to $11 Million

Elutia has signed a definitive agreement to sell its SimpliDerm human acellular dermal matrix business to Cellution Biologics for total consideration of up to $11 million. The Gaithersburg, Maryland-based company will receive $8 million in cash at closing, with up to an additional $3 million in technology transfer and commercial milestone payments payable over the following 18 months. Closing is expected in the second half of 2026, subject to customary conditions.

The divestiture completes a previously announced strategic review of SimpliDerm and represents a deliberate narrowing of Elutia’s commercial focus. By shedding the established but non-core dermal matrix product line, the company is concentrating its resources entirely on NXT-41x, a next-generation antibiotic-eluting biomatrix technology targeting the approximately $1.5 billion U.S. plastic and reconstructive surgery market. Elutia is targeting FDA clearance and a commercial launch of NXT-41x in 2027.

NXT-41x is designed to address a significant clinical problem in breast reconstruction following cancer surgery: serious complications — including infection and implant failure — that affect as many as one in three patients undergoing the procedure. Elutia’s antibiotic-eluting biomatrix technology is intended to reduce those complication rates by embedding drug delivery directly into the soft tissue reinforcement material used during reconstruction, a category where standard acellular dermal matrices currently dominate but carry no pharmacological function.

The SimpliDerm proceeds provide non-dilutive capital at a critical pre-launch juncture, avoiding the equity dilution that would otherwise be required to fund NXT-41x’s regulatory and commercial ramp. Elutia, which develops drug-eluting biomatrix products aimed at improving the compatibility between implantable medical devices and patients, has positioned the transaction as a balance sheet strengthening event rather than a retreat from the regenerative tissue market.
