Everus Construction Group has entered into a definitive agreement to acquire Epsilon Industries for $295 million in cash. Epsilon designs and manufactures modular mechanical and electrical infrastructure systems for projects in data centers, advanced manufacturing, healthcare, and other complex construction markets.
Everus expects to finance the transaction through cash on hand and borrowings under its existing credit facilities. The acquisition is expected to close during the third quarter of 2026, subject to regulatory approvals and customary closing conditions.
Epsilon has more than 25 years of experience providing off-site construction solutions across North America.
Its services include design assistance, custom fabrication and turnkey field installation. The company operates modular construction facilities in the U.S. and Canada, giving it nationwide distribution capabilities.
Everus expects Epsilon to strengthen its presence in priority markets including Florida, Texas, the Mid-Atlantic and the Northeast.
The acquired workforce includes more than 50 engineers and 120 skilled trade employees. Epsilon President Chris Wiederick and other members of the company’s leadership team are expected to remain following the acquisition.
Epsilon expects to generate approximately $250 million in revenue during calendar year 2026 with an EBITDA margin in the low double digits.
Everus expects the acquisition to be cash accretive and sees additional growth opportunities supported by Epsilon’s backlog, market pipeline and existing customer relationships.
The transaction also supports Everus’ effort to expand off-site construction and prefabrication. Building modular systems in controlled facilities can improve labor utilization, material efficiency, safety and project predictability.
Everus plans to update its 2026 financial forecast after the acquisition closes.
