Femto Technologies, a FemTech and CRM software company, announced that it has entered into a share purchase agreement to acquire a 40% equity interest in Israeli software company Gilad R.G. Planning and Implementation of Technologies and Software 2025 Ltd., as part of a strategy to expand its software services and capabilities in artificial intelligence.
The transaction includes the purchase of 43 newly issued shares from Gilad for $1 million, which will be used to fund product development and sales, as well as the acquisition of 14 additional shares from an existing shareholder. The vendor consideration includes $250,000 in cash and 169,811 subordinate voting shares of Femto priced at $0.589 per share.
Gilad develops AI-driven research and data analysis solutions, with a focus on scalable software-as-a-service platforms. Its flagship product, i-RAT, is designed to guide users through the full lifecycle of quantitative research, integrating statistical learning, hypothesis formulation, data analysis, and automated reporting.
If Gilad achieves at least $4.2 million in revenue within 24 months following closing, Femto will make an additional payment of $1.68 million. Femto also holds an option to increase its ownership to 51% within two years, based on a fair market valuation at the time of exercise.
Following completion of the transaction, Femto will be entitled to appoint one board member to Gilad, with the ability to appoint a second if it exercises its option to gain majority control. The deal is expected to close before the end of the month, subject to customary conditions.
The company noted that the acquisition is intended to strengthen its software offerings through its subsidiary, BYND – Beyond Solutions Ltd., and position the business to adapt to rapid changes in the software landscape driven by artificial intelligence.
