Fenway Sports Group has entered into a definitive agreement to sell a minority equity stake in Liverpool Football Club to 1892 Holdings, a consortium led and managed by Amit Bhatia. Financial terms and the size of the minority stake were not disclosed.
The consortium includes investments from Bhatia and the Mittal Family Trusts, K5 Sports, a K5 Global fund whose lead investor is Jeff Bezos, and EE Capital, the family office of Elaine and Eduardo Saverin.
FSG will retain majority ownership and operational control of Liverpool FC following the transaction.
The investment is intended to support Liverpool’s long-term growth strategy while bringing additional business, technology and investment expertise into the club’s ownership group.
1892 Holdings and its consortium partners will work with FSG and Liverpool’s leadership to evaluate opportunities designed to support the club’s objectives both on and off the pitch.
The deal introduces several globally prominent investment and technology figures into Liverpool’s shareholder base while preserving FSG’s control.
Closing remains subject to regulatory approvals and customary conditions.

Orrick, Herrington & Sutcliffe and Cleary Gottlieb Steen & Hamilton advised K5 Sports and its lead investor, while Clifford Chance advised EE Capital.
