First Choice Healthcare Solutions announced it has entered into a definitive merger agreement with Westin Acquisition, a special purpose acquisition company, in a transaction expected to accelerate First Choice’s rebrand to Wellgevity 360, a healthcare and wellness platform focused on longevity, preventative care, and personalized, biology-driven treatment. The transaction values First Choice at a pro forma enterprise value of approximately $650 million.
Under the agreement, Westin will domesticate from the Cayman Islands to Nevada and continue as Wellgevity 360, Inc., after which a merger subsidiary will combine with First Choice, leaving First Choice as a wholly owned subsidiary of the newly formed public company. The combined company is expected to trade on Nasdaq, with the transaction expected to close in the fourth quarter of 2026, subject to customary regulatory and shareholder approvals. First Choice currently operates functional health, longevity, and regenerative medicine clinics, integrating primary care, advanced diagnostics, regenerative therapies, medical weight loss, and hormone optimization.
According to the Global Wellness Institute, the U.S. wellness economy is valued at $2.1 trillion and has grown at an annual rate of 7.9 percent from 2019 to 2024, with per capita spending surpassing $6,000 in 2024.
