Foresight Autonomous Holdings announced that it has entered into a definitive agreement with VisionWave Holdings for a strategic equity investment of up to $17.5 million, payable in VisionWave common stock, implying a post-investment valuation of approximately $34 million for Foresight.
The companies plan to combine Foresight’s high-resolution visible light, infrared and neuromorphic sensor technologies with VisionWave’s artificial intelligence and radio frequency-based perception systems. The collaboration is aimed at developing intelligent, real-time perception solutions for defense and security applications, including counter-unmanned aircraft systems, tactical unmanned systems, border protection and critical infrastructure monitoring.
Foresight said the investment is intended to strengthen its AI capabilities and accelerate the development and commercialization of AI-enhanced perception platforms. Under the agreement, VisionWave is expected to acquire a controlling 52% stake in Foresight through a two-stage transaction.
During the first stage, VisionWave will receive a 46% stake in Foresight in exchange for VisionWave shares valued at approximately $15.5 million. Upon the achievement of a commercial milestone involving the launch of a binding pilot project using the integrated perception platform, VisionWave will acquire an additional 6% stake in exchange for shares valued at about $2 million. VisionWave will also gain the right to appoint directors to Foresight’s board.
Both companies said they will continue operating as independent publicly traded entities. The transaction remains subject to shareholder, regulatory and stock exchange approvals, as well as other customary closing conditions.
Foresight develops advanced three-dimensional perception systems and vehicle-to-everything collision prevention technologies through its subsidiaries. VisionWave focuses on AI-driven sensing, autonomy and computational technologies for defense, homeland security and commercial infrastructure applications.
