Forum Markets announced two developments aimed at expanding its blockchain-based financial infrastructure: the launch of a $10 million auto loan warehouse facility designed to enable continuous loan settlement and the appointment of Robert Spake as general counsel to support the company’s regulatory and governance efforts as it scales tokenized real-world asset products.
The Palm Beach-based company, which focuses on modernizing capital markets through the tokenization of real-world assets on Ethereum, said the new revolving warehouse facility will finance fully secured first-lien auto loans originated through Automatic USA, an automated auto finance platform partnered with AI-driven credit analytics provider Karus.
The 12-month facility is intended to fund loans at the point of origination and support the aggregation of short-duration receivables as part of Forum’s strategy to originate and structure institutional-grade credit assets before eventually tokenizing them on blockchain infrastructure. Loans financed under the structure are expected to have holding periods of about seven to ten business days before being sold to long-term buyers, including Forum and affiliated tokenization subsidiaries.
Forum expects the warehouse facility to generate approximately 12% to 13% annualized yield, which the company said will help enhance the blended yield profile of upcoming tokenized auto loan products. While auto loans acquired for longer-term holding are expected to generate high single-digit yields, combining them with warehouse facility income could improve overall returns across the tokenized structure.
Automatic USA automates dealer-level loan applications and works with Karus to evaluate borrowers and deliver credit decisions within minutes. By integrating AI underwriting with blockchain infrastructure and embedded warehouse capital, Forum expects to enable loan settlement and capital deployment into dealer networks on a continuous 24/7/365 basis.
Liquidity.io will serve as the settlement partner for the facility, providing blockchain infrastructure that enables real-time settlement, with transactions collateralized by Texas Capital Bank Government Money Market ETF. The company said embedding blockchain directly into the loan funding process transforms what has traditionally been a fragmented warehouse lending system into a real-time issuance framework accessible to both digital and traditional loan buyers.
In a separate announcement, Forum Markets said it appointed Robert Spake as general counsel, strengthening the company’s legal leadership as it advances efforts to develop compliant, institutionally structured tokenized asset products.
Spake brings experience in capital markets, tokenization, litigation strategy, and regulatory compliance. Prior to joining Forum, he served as senior director and head of litigation at financial technology firm Republic and as chief compliance officer of Republic Capital, a registered investment adviser, where he oversaw litigation strategy, regulatory responses, and compliance infrastructure across multiple fintech business units.
Earlier in his career, Spake was a shareholder in the Business Litigation Department at Polsinelli and practiced at Weil, Gotshal & Manges, advising corporate boards and senior management on governance and regulatory matters. He began his legal career as a law clerk in the Delaware Court of Chancery.
Forum said the appointment supports its broader push to bring institutional-grade assets onto blockchain infrastructure while maintaining strong governance and regulatory discipline as the market for tokenized real-world assets evolves.
